Job Description
Our SEC Reporting and Technical Accounting Group is looking to add a Senior Manager of Technical Accounting, M&A Reporting and Accounting Policy. Looking for a candidate with a positive attitude, highly motivated to learn and grow within the organization with proven ability to thrive successfully in a fast-paced multitask oriented environment.
This is a critical and high-profile position that will play a critical role cross functionally with our Controllership, Corporate Development, FP&A, Legal, Tax, as well as service providers to manage the end-to-end due diligence process and accounting related to M&A transactions and technical accounting matters. This role will report to the Sr. Director of SEC Reporting and Technical Accounting.
Ideally, this position will be based in our San Jose headquarters, but flexible to work remotely. Minimal travel may be required (when future conditions permit).
Primary Responsibilities
M&A:

  • Be part of the due diligence team and lead/manage the end-to-end Finance due diligence process related to M&A transactions, including preparation of due diligence findings and report
  • Coordinate review of the opening and closing balance sheet procedures
  • Be a key liaison with corporate development, legal, external valuation specialists, and external audit for M&A transactions
  • Prepare M&A accounting analysis and technical memo in accordance with ASC 805, Business Combinations, in a clear, logical and comprehensive manner
  • Review valuation reports and underlying assumptions prepared by third-party service providers
  • Assist cross functional teams including tax and GL Accounting team to ensure M&A transactions are properly recorded
  • Coordinate review and clearance of M&A memos with external auditors
  • Assist SEC Reporting team in the preparation of M&A required disclosures
  • Assist with the update of M&A controls, including assessing any control gaps and changes in processes


Technical Accounting:

  • Become the subject matter expert in areas of technical accounting, supporting corporate accounting groups
  • Oversee the research of authoritative and interpretive literature applicable to non-recurring transactions as they arise
  • Assess and implement new/update accounting standards
  • Prepare technical accounting memos (recent transactions have included convertible debt, note hedges, leases, legal settlements)
  • Present and resolve the Company's positions for critical accounting issues with external auditors
  • Direct and assist in special projects when needed


Corporate Accounting Policies:

  • Oversee the maintenance of corporate accounting policies, including drafting of new policies and/or updating existing policies, as needed


Qualifications

  • Certified Public Account with a manager role leading the finance due diligence of M&A transactions, preferably in the technology sector, or an Audit Manager (within the technology sector) of a Big-Four accounting firm
  • Strong technical accounting background with a knowledge of US GAAP and SEC reporting standards, as well as experience with technical research and writing technical accounting memos
  • A proactive approach to problem identification and remediation solutions, and excellent written and oral communication skills, including the ability to interact and build relationships across all levels of the organization
  • The ability to work independently, complete work timely, and work well as a team member
  • Strong organization skills
