What you’ll be doing (ie. job duties):

  • Own HR M&A diligence, with a focus on compensation and equity, in partnership with key Leadership, HR, and Corporate Development stakeholders
  • Conduct and manage buy-side HR diligence and pre-integration activities across multiple concurrent transactions, both domestic and international
  • Build and negotiate thoughtful compensation and incentive proposals for target teams in partnership with HR leadership and Corp Dev teams
  • Ensure quality and consistent analysis of target company data to identify risks and exposures across HR, including equity, retirement/pensions, change in control, severance, Section IRC 280G, and collective bargaining agreements, etc
  • Drive and champion continuous improvement of our HR due diligence processes to drive excellence across deal execution and integration
  • Create and enhance scalable diligence playbooks and best practices, leveraging automation and repeatable innovation when possible

What we look for in you (ie. job requirements):

  • Global HR knowledge, including 4+ years of compensation and/or diligence expertise in high-intensity technology, management consulting, or financial services environments with M&A exposure
  • Expertise building effective and measurable incentive and retention strategies across multiple cross-border geographies 
  • Knowledge of global labor requirements and restructuring programs and ability to work with outside advisors to assess compensation structuring implications and options
  • Passion for building and improving highly cross-functional processes with a knack for delivering tangible results and working across teams to unblock bottlenecks
  • Strong project and program management skills, including the ability to prioritize and multitask and to flex and pivot nimbly in response to evolving business needs
  • Excellent stakeholder management, relationship building, problem solving, negotiation, prioritization, and communication skills
  • High integrity and the utmost discretion

Nice to haves:

  • Understanding of M&A strategies, including exposure to various types of deal structures (e.g., equity, asset, acquihire, JV, strategic investment, etc) across multiple jurisdictions
  • Expertise developing HR deal budgets and crafting inputs to LOIs
  • Experience in startup culture 
  • Expertise in companies with a global, distributed workforce

Notice for Colorado applicants as required by sb19-085 (8-5-20). Target annual salary for this role performed in Colorado is $195,500 + target bonus + target equity + benefits (including medical, dental, vision and 401(k)).
