The Contracts Counsel must thrive working in a fast-paced, innovative environment. This individual should possess strong contract drafting and negotiating skills. The exceptional candidate will have excellent social skills including the ability to partner collaboratively with internal stakeholders and external vendors while remaining flexible, proactive, resourceful and efficient, and maintaining high quality and high standards. In addition, this individual should have the ability to analyze complex issues to develop relevant and realistic plans and recommendations. The Contracts Counsel will be expected to work independently while knowing when to escalate issues to senior attorneys. The Contract Counsel will communicate complex issues in a simple way and orchestrate plans to resolve issues and mitigate risks.
You will:
- Draft, review, and negotiate a variety of contracts, including commercial agreements, supply agreements, service agreements, advisory agreements, confidentiality agreements, IT agreements and other vendor agreements. Experience supporting life sciences companies, negotiating development agreements, clinical trial agreements, data and material transfer agreements, a plus.
- Work closely with the GRAIL UK team to execute agreements required for the conduct of clinical trials and commercial partnerships, including clinical study agreements, related service agreements, and data transfer agreements.
- Support miscellaneous project-based legal assignments and initiatives, including template revisions and training of client groups.
- Provide timely advice to internal clients on a wide range of transactions and matters.
- Develop excellent working relationships with functional groups and project teams.
- Work without close supervision, initiate new assignments and identify ways to continuously improve templates, processes, and operations
You should have:
- U.S. Law degree and an active member in good standing of California Bar
- At least 2-4 years of transactions experience, ideally with a mix of national law firm experience and prior in-house life sciences experience strongly preferred
- Familiarity with intellectual property licensing contracting and data privacy laws (including GDPR) a strong plus
- Extensive experience drafting and negotiating a wide range of agreements
- Exceptional interpersonal and planning skills and a meticulous attention to detail
- Ability to effectively prioritize and multi-task
- Ability to maintain focus and composure amid pressure and evolving priorities
- Ability to work in a self-guided manner while exercising initiative, flexibility and good judgment
- Strong desire to improve processes and grow
