Everlaw is seeking a Contracts Manager with demonstrated experience reviewing and negotiating commercial contracts to join our team. As our Contracts Manager, you will work closely with Commercial Counsel and other company stakeholders to develop and improve applicable forms, processes, and procedures. This is an individual contributor role, reporting to the Commercial Counsel.

Key Responsibilities

  • You will develop, implement, and manage a contract management strategy that includes a contract workflow and management system and provides critical business intelligence to the organization.
  • You will improve the contract approval process and implement a process to deliver continuous improvement of standard form agreements and legal processes, with an emphasis on efficiency and scalability.
  • You will lead company initiative to identify and implement a contract management solution.
  • You will conduct an audit of the operational impacts around existing contracts (including SLAs).
  • You will partner with internal stakeholders in a continued effort to streamline contract-related processes as well as integrate templates across varied business units.
  • You will assist Commercial Counsel to structure, redline and negotiate in-bound agreements, including SaaS and other technology agreements, services agreements, and engagement letters.
  • You will analyze all requirements and provisions in contracts to ensure compliance with company policies and procedures.
  • You will identify legal and regulatory issues in contracts for review with Commercial Counsel.
  • You will ensure that contracts are executed in accordance with corporate guidelines and sound risk management principles.
  • You will team with Commercial Counsel on complex contract negotiations.
  • You will assist Commercial Counsel on overflow of out-bound sales agreements, depending on your experience and aptitude.

Qualifications

  • You are a creative thinker with strong problem solving skills and the ability to stay calm under pressure, work independently, handle multiple assignments simultaneously, and effectively manage deliverables with time-sensitive deadlines.
  • You have exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas.
  • You have excellent interpersonal and issue resolution abilities and an eagerness to work in a cross-functional role with the entire Everlaw team.
  • You have earned a Bachelor’s degree and at least 2 years of experience as a Contracts Manager.
  • You may have a Juris Doctor, though it is not a requirement.
  • You have the ability to translate business objectives into contract language.
  • You may have some experience supporting a sales organization working knowledge of intellectual property law and indemnity clauses.
  • You have the ability to explain contract language to a non-legal audience.
  • You have sound independent judgment.
