Corporate & Commercial Counsel
Grammarly offers a remote-first hybrid working model . Team members can work primarily remotely. Teams will meet in person every quarter in one of Grammarly's hubs, currently in San Francisco, Vancouver, New York, and Kyiv. To ensure that teams are able to overlap in their working hours and to meet face-to-face when needed, all team members need to live within three time zones of their direct team.
Grammarly team members who will be collaborating at our San Francisco hub must be based in the United States.

To achieve our ambitious goals, we're looking for a Corporate & Commercial Counsel to join our Legal team and help build out a world-class corporate and commercial function at Grammarly. This Corporate & Commercial Counsel will be focused on working closely with business executives and various teams at all levels of the organization to tackle a variety of requests, including drafting and reviewing complex commercial contracts, as well as advising on corporate matters, among other needs and agreements. They will collaborate closely with our Finance, Accounting, Sales, Communications, and Compliance teams to lead legal negotiations and develop strong corporate practices to help move the business forward.
Additionally, as a foundational member of the Grammarly Legal team, the Corporate & Commercial Counsel will also help shape the culture of the Legal team by exemplifying care for their craft, care for others, and a commitment to finding solutions to difficult questions.
Your impact
As a Corporate & Commercial Counsel, you will leverage your experience and expertise to counsel and collaborate cross-functionally with teams at Grammarly, all while developing a diverse set of skills and growing the specialized support provided by the Grammarly Legal team.
- Within your first 30 days, you will onboard to the Grammarly Legal team and focus on understanding our legal function and our product. You will be involved in solving interesting legal asks and negotiating at least one complex Grammarly contract.
- By month three, you will have developed good relationships with the leaders on various Grammarly teams. You will balance and prioritize the strategic and complex projects you are leading and the contracts you're negotiating.
- By month six, you will have implemented an intake system for corporate-related questions and begun training an analyst or paralegal to support you. For commercial agreements, you will have started to refine playbooks and form agreements to make contracting more efficient.
- By year one, you will be training another attorney to assist you on corporate-related matters and managing corporate-adjacent projects for the People and Finance teams. You will be training new attorneys about negotiating complex commercial transactions.
- By year two, effectively, you will be our resident expert on complex commercial negotiations and corporate matters.
We're looking for someone who

- Has a deep interest in corporate law with experience negotiating complex corporate transactions and assisting with corporate governance matters.
- Has the ability to manage multiple projects, stakeholders, priorities, and deadlines.
- Is comfortable working with cross-functional teams and advising senior leaders on risk mitigation to ensure we take the optimal path.
- Communicates clearly and empathetically both face-to-face and in writing.
- Has approximately 6 or more years of relevant corporate legal experience at a national firm, or comparable in-house practice, with exposure to high-growth companies.
- Holds a JD (required) and has been admitted to the bar, with a license to practice law in at least one US state.

- For Colorado-based employment: The salary range for this position is $150,000 -- $268,000/year; however, base pay offered may vary considerably depending on job-related knowledge, skills, and experience. The compensation package includes a wide range of medical, dental, vision, financial, and other benefits, as well as equity.
