Affirm is seeking a talented and experienced attorney to join its lean and mighty Legal team as Corporate Counsel – Corporate, M&A.  This individual will advise Affirm on a range of corporate transactions and initiatives. You must have the ability to operate independently in a fast-paced environment and work proactively with various teams across Affirm, including Corporate Development, Finance and People.

What You'll Do

Your responsibilities will include:

  • Lead domestic and international M&A transactions and strategic investments, including coordination of legal strategy, risk management, negotiation and due diligence
  • Partner with Corporate Development, Finance and People teams and manage cross-functional legal experts to execute transactions
  • Support major M&A transactions and complex strategic initiatives
  • Support post-closing integration
  • Coordinate and manage outside domestic and international corporate counsel
  • Support and manage internal corporate initiatives and policies
  • Provide general corporate legal support to Affirm and its stakeholders
  • Assist with other corporate and securities law matters as necessary, which may include the corporate secretarial function and public company reporting

What We Look For

  • J.D. degree from an accredited law school and active membership in at least one state bar
  • 7+ years of legal practice experience in M&A transactions, with at least 5+ years of experience at a law firm with a sophisticated corporate and M&A practice
  • Corporate and transactional experience with public and private companies, with an emphasis on M&A, investments, joint ventures and other corporate transactions
  • In-depth knowledge of M&A structures, deals, documents and legal issues
  • Experience in public company corporate and securities law matters preferred
  • Organizational experience and strategic thinking, and experience advancing projects in a multi-stakeholder environment
  • Business judgment and client counseling experience
  • Excellent interpersonal and communication skills, including the ability to negotiate, compromise and demonstrate diplomacy in sensitive situations, and to interact effectively with senior management
  • Careful attention to detail and strong quality of work product
  • Demonstrated ability to handle multiple projects, prioritize and meet deadlines
  • Ability to demonstrate good judgment in a fast-paced, high-growth, dynamic environment
  • Ability to uphold the highest standards of discretion and confidentiality
  • Proactive, enthusiastic and innovative team player with a strong work ethic
  • Self-starter with intellectual curiosity, who is capable of learning on the job, taking initiative, developing new approaches when there are no precedents, and thriving within a team

Location

We’re excited to announce that Affirm is now a remote-first company! This role can be located anywhere in the U.S. Remote based employees may occasionally travel to an Affirm office for meetings or team building events. Our offices in San Francisco, New York City, Pittsburgh, Chicago, and Salt Lake City will remain operational and accessible for anyone to use on a voluntary basis.
