Summary: This is a unique and exciting opportunity within the Capital Markets team to negotiate, structure, execute and service transactions with institutional investors.

The Role:

Capital Markets lawyer to provide legal advice and support to the Funding Circle Capital Markets team focusing on loan financing, structured finance and securitization. Will also have scope to get involved in other general legal support for the business including commercial contracts, regulatory advice, dispute resolution, employment, intellectual property and data protection.

Essential Responsibilities

• Advice on design, negotiation, drafting and execution of capital markets transactions, focusing on loan financing, warehouse facilities, loan participations, structured finance/securitization, and pass-through structures.
• Instruction and management of outside counsel as needed and collaboration with other members of Funding Circle global legal team.
• General support driving strategic initiatives, including the deployment of products, policies and solutions developed in the US Capital Markets team based in San Francisco but also working with offices in New York, London and Berlin.

The Candidate

• 4+ years post qualification legal experience in structured finance, securitization, or loan/receivables finance from a top-rated law firm; prior in-house experience a plus.
• Expertise in complex structured finance transactions and maintenance, including review and drafting of all related documentation, liaising with transaction parties, including rating agencies, trustees, corporate services providers and financing providers.
• Good knowledge of regulatory issues relating to financing and securitization, including risk retention and disclosure obligations.
• Ability to think commercially and strategically in relation to legal and business issues and provide solutions.
• Strong interpersonal skills – ability to build consensus in a matrixed environment ability to build trusting working relationships while maintaining independence.
• Strong verbal and written communications skills including ability to advocated positions internally as well as with third parties.
• JD with active state bar admission.
