Senior Commercial Counsel
Vicarious aims to transform robotics by creating robots with human level performance on real-world manipulation tasks. We are passionate about changing the world with science and software, and we are looking for exceptional people to join us in that mission.
This is Vicarious’ first in-house legal hire. You would be responsible for managing the commercial contract negotiation and review process for a wide range of complex contracts involving integrated software and hardware in our robotics-as-a-service product, and supporting our sales and partnership efforts. These contracts include customer and vendor agreements, non-disclosure agreements, and other common commercial contracts. This position will allow you to set the standard for how contracts involving the sale of robotic labor are drafted.
In your first 30 days, you will...
- Familiarize yourself with our product, our value propositions, our team, our customers, and our processes.
- Dive deep into our existing templates and drafting, reviewing, and negotiation processes, including joining customer calls.
- Meet each of our internal organization leads and our external law firm team.
In your first 90 days, you will...
- Take ownership of our internal contract drafting and negotiating processes.
- Evaluate our contracts, templates, and processes and propose recommendations for improvement.
- Begin a risk assessment of our existing contracts.
- Take on at least one strategic initiative to improve our legal systems and processes.
- Work closely with and become a partner to our sales team.
- Work closely with our external law firm team to support our sales process.
- Advise business and cross functional stakeholders on legal issues that may include product liability, agreement structures, IP, and negotiation strategy.
In your first year, you will...
- Update and maintain our templates and establish guidelines and a process for commercial contract negotiations.
- Be deeply involved if/when any strategic legal discussions arise, including marketing and distribution partnerships, fundraising, M&A, and more.
Who you are
- Have 5+ years of experience with contracts drafting, reviewing, and negotiating at a startup software company, or in service to startup software companies at a law firm.
- An expert in a wide variety of contracts covering hardware, software and services, data processing, non-disclosure, consulting, partnership and marketing, and more.
- Enthusiastic for Robotics and Artificial Intelligence.
- In good standing with the California bar
