About the Role
Reporting to the General Counsel, the successful candidate will be a significant contributor to Chime’s business objectives, playing a lead role in all private company matters, corporate governance, and corporate financing transactions. S/he will work closely with the executive team, business leadership, the human resources, finance, and business development departments and outside counsel to further the Company’s ambitious goals. This position offers exposure to and involvement in a wide range of practice areas relevant to a high-growth, fast moving financial technology company. The successful candidate will assume a key role working collaboratively across the Company to enhance its governance capabilities and deliver a new generation of transformative products to its members.

Responsibilities
- Provide strategic advice on corporate governance; identify and benchmark emerging and leading corporate governance practices relevant to the financial services and financial technology industries and facilitate implementation, where appropriate
- Assist the corporate secretary in all corporate secretarial functions, including preparation of notices, agendas and materials for board and committee meetings, board minutes, resolutions and actions
- Provide advice and counsel to board of directors, as necessary
- Assist with mergers and acquisitions, investments and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation with the support of outside counsel, and supporting closing transactions and post-closing integration
- Support government and regulatory reporting obligations
- Provide legal advice and support in a wide array of practice areas and special projects as needed
- Work closely with our internal business and compliance teams, as well as with external advisors and experts
- Advise on equity based compensation structures and systems
- Provide legal support on corporate finance matters, including debt and equity offerings
Requirements
- 7+ years of relevant corporate experience
- J.D. degree
- Membership in at least one state bar (preferably California)
- A combination of both in-house and law firm experience preferred
- Ability to be the lead in-house attorney on corporate projects, including handling multiple simultaneous transactions or projects
- Strong decision-making abilities, attention to detail, and ability to give executive-level guidance in a timely manner
- Ability to work well under pressure with minimal supervision.
- Excellent negotiation and drafting skills and practical business judgment
- Superior interpersonal skills and team-first orientation with flexibility and positive attitude
- Experience working in or closely with fast growing, venture backed technology start up companies in regulated industries (whether financial services, financial technologies, payments or otherwise) preferred
