Job Description

Wish is seeking a Senior Corporate Counsel to join its growing, collaborative, and fun legal team. This is a unique opportunity to lead the corporate function at a newly-public company. You will work closely with colleagues across multiple internal functions on a wide range of corporate matters, including corporate governance, securities, subsidiary management, equity, and M&A. You will also work closely with our General Counsel, Executive Team, and Board of Directors on corporate matters. You should have a strong work ethic, attention to detail, and team-player mentality — all are key to succeeding in this role. This role will report to Wish’s Chief Compliance Officer & Associate General Counsel. 

What you'll be doing:

  • Manage the preparation and filing of periodic and annual reports and other SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy materials, and Section 16 filings
  • Provide legal advice and support with respect to global stock plans, executive compensation, investor relations, and other corporate matters
  • Assist in the preparation of earnings releases, annual meetings and other relevant public announcements, in collaboration with key stakeholders 
  • Assist with board and committee meeting logistics, including coordinating, preparing, and distributing board/committee materials, meeting agendas, notifications, minutes and governance matters
  • Oversee and manage domestic and international subsidiaries 
  • Partner with cross-functional teams, including Tax, Accounting, Treasury, Equity, Communications, HR, Compensation, and Investor Relations on various projects
  • Advise on insider trading compliance, including Section 16 and 10b5-1 trading plans 
  • Support commercial agreements for the Finance team as needed 
  • Help with mergers and acquisitions, investments and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration
  • Establish and maintain credibility and trust with key stakeholders, legal team members, and other colleagues

Qualifications

  • J.D. degree from an accredited law school and a bar membership in good standing
  • At least 5 years of corporate law experience and comprehensive securities law experience (including ’33 and ’34 Act reporting), including broad exposure to corporate governance and compliance matters
  • Practice at a major law firm, some in-house public company experience strongly preferred.
  • Common sense, critical thinking skills, and a good sense of humor
  • Problem-solving skills, an ownership mentality, and an ability to learn quickly 
  • Ability to think quickly on your feet and simultaneously manage complex workloads, multiple demands, and shifting priorities
  • A passion for driving results and pride in your work
  • A sense of urgency, honesty, and fairness
  • Impeccable ethical standards
  • Excellent academic credentials

Preferred Qualifications:

  • Prior in-house or seconded company experience
  • Ethics & compliance experience (anti-bribery and corruption, sanctions screening, conflicts of interest, gifts & entertainment, etc.)
  • Commercial contracting experience
