Senior Legal Counsel

As the Senior Legal Counsel you will provide hands-on guidance on legal issues, develop risk mitigation strategies, and partner with the business to create scalable policies and procedures. Our ideal candidate will bring superior legal acumen complimented by business judgment and the ability to recommend solutions and strategies to the Executive Team and across the business. Reporting to the CFO, you will be expected to manage multiple, complex projects simultaneously in a fast-paced work environment.
Responsibilities
- Structure, draft and negotiate commercial agreements including subscription agreements, support and service agreements, reseller agreements, partner agreements and vendor agreements and support G&A and sales organization on legal matters generally.
- Provide thought leadership by developing new, and improving existing, agreements and legal processes & practices.
- Build, implement, and maintain legal and corporate compliance programs, policies, procedures, monitoring, technology, and training.
- Monitor, research and anticipate legal and regulatory developments or other unique legal issues that could impact the company and help proactively resolve legal and other compliance issues.
- Manage and partner with outside counsel in areas such as employment, immigration, IP & patents both domestically and internationally.
Qualifications & Experience
- First and foremost, you have unquestionable integrity and ethics.
- J.D. degree from an accredited law school required.
- Membership in at least 1 U.S. State Bar (preferably CA), with good standing.
- Minimum of 7+ years of experience as an attorney, ideally with 2+ years as an in-house counsel at a fast growing technology company.
- Extensive experience in SaaS and enterprise software transactions.
- Excellent business judgment; intellectual curiosity and the ability to balance legal and business requirements.
- Structured thinker and polished presenter. Skilled in the ability to articulate complex concepts clearly to cross-functional audiences.
- Keen attention to detail, ability to work independently, and excellent writing & organizational skills.
