GRAIL’s Legal Organization is seeking a dynamic, collaborative Senior Staff Counsel, Commercial Transactions to join the Corporate Transactions team with a strong focus on Commercial partnerships and commercial contracting. This role will support GRAIL’s commercial organization—including Providers, Health Systems, Strategic Growth Accounts, Market Access, Payers, and Commercial Operations.
This position requires substantial experience drafting, reviewing, and negotiating complex commercial agreements typical of the life sciences and diagnostics industry, as well as experience advising clients on commercial strategy, customer-facing engagements, go-to-market initiatives, vendor transactions, and risk mitigation.
You will work cross-functionally, independently, and closely with senior and executive leaders, including GRAIL’s Commercial and other business leadership teams. This position reports to the
Head of Commercial Law.
This role is based in Menlo Park, California, and will move to Sunnyvale, California, in Fall 2026. It offers a flexible work arrangement, with the ability to work from GRAIL's office or from home. Our current flexible work arrangement policy requires that a minimum of 40%, or 16 hours, of your total work week be on-site. Your specific schedule, determined in collaboration with your manager, will align with team and business needs and could exceed the 40% requirement for the site. At our Menlo Park campus, Tuesdays and Thursdays are the key days where we encourage on-site presence to engage in events and on-site activities.
Responsibilities:
- Commercial & Corporate Transactions
- Partner closely with GRAIL’s Commercial organization to support commercial programs and transactions, as well as contract processes workflows.
- Draft, review, and negotiate a broad range of commercial and corporate agreements, including: commercial and sales agreements, payer and provider agreements, and vendor and services agreements.
- Provide practical, business-oriented legal advice to Commercial leaders on contract interpretation, customer obligations, sales and marketing materials, compliance requirements, risk assessments, and escalation pathways.
- Provide timely, concise counsel to internal clients on a wide array of transactional matters, including IP ownership, regulatory and privacy implications, dispute resolution, and risk mitigation.
- Advise cross-functional partners on healthcare compliance considerations and data privacy implications in commercial contracting, where applicable.
- Serve as a legal partner to business teams driving commercial strategy and growth
- Build strong working relationships with business leaders to support operational decision-making and partnership management.
- Assist with policy development, template optimization, training, commercial processes, and continuous improvement efforts.
- sIndependently manage negotiations and priorities with minimal oversight.
- Identify opportunities to improve templates, workflows, policies, and cross-functional collaboration.
- Contribute to long-range planning for the Commercial Law and Corporate Transactions teams.

Required Qualifications:
- A U.S.-based JD from an accredited law school and active bar membership or eligibility for in-house counsel registration.
- Significant experience advising commercial or customer-facing business teams on both legal and business issues.
- Familiarity with healthcare compliance, anti-kickback considerations, data privacy laws, and regulatory frameworks applicable to commercial health offerings.
- Ability to travel 5% as required.
Preferred Qualifications:
- 5+ years of transactional experience (mix of top-tier law firm and in-house preferred) with a strong emphasis on commercial agreements in the life sciences, diagnostics, biotech, or healthcare technology industries.
- Demonstrate excellent communication and relationship-building skills, including experience supporting senior and executive business leaders.
- Possess exceptional organizational, analytical, and planning capabilities with meticulous attention to detail.
- Prioritize effectively, triage competing workflows, and deliver results efficiently while exercising sound judgment.

The expected, full-time, annual base pay scale for this position is $235K-$260K. Actual base pay will consider skills, experience, and location.
This role may be eligible for other forms of compensation, including an annual bonus and/or incentives, subject to the terms of the applicable plans and Company discretion. This range reflects a good-faith estimate of the range that the Company reasonably expects to pay for the position upon hire; the actual compensation offered may vary depending on factors such as the candidate’s qualifications.
