Role: Sr. Manager, Technical Accounting
Location : San Jose, CA

Overview

Primary contributions will include the preparation of technical accounting memorandums on a wide variety of technical accounting matters (e.g., stock-based compensation, business combinations, revenue recognition, leases, implementation of new accounting standards, technical accounting research on ad-hoc projects), lead the finance due diligence process of business acquisitions along with the review of the valuation report, review the integrity and completeness of required disclosures in accordance with U.S. GAAP in the Company's financial statements (Forms 10Ks/10Qs), ensure compliance with SOX for the assigned cycles, and assist in the preparation of Company's policies.

The ideal candidate shall have a strong foundation in public accounting leading the financial audit of private and public companies, ideally within the technology industry. This person will have strong technical accounting and research skills, strong communication skills, be detailed oriented and hands-on, enjoy working in a team/collaborative environment, strong time management skills to manage deadlines timely, the ability to work under pressure and have some flexibility during peak days during the financial reporting cycle.

Primary Responsibilities:

  • Lead the application and interpretation of ASC 805, Business Combinations, including performing technical accounting research, review of the third-party valuation reports of acquired intangible assets (lead coordination of information requests from external valuation firms and act as a liaison between the valuation experts and external auditors), preparation of technical accounting memorandums, journal entries, and related footnote disclosures associated with business acquisitions.
  • Lead finance due diligence process for business acquisitions, including preparation of information requests, reviewing financial information and related agreements for reasonableness, review/audit of the closing balance sheet, prepare technical memorandum summarizing the finance due diligence process, and assist in the integration process.
  • Support the technical accounting research and preparation of technical accounting memorandums associated with revenue recognition matters.
  • Support the accounting close and reporting process for stock-based compensation awards (i.e., stock options, RSUs, ESPP, performance awards), including preparation of journal entries, period-end reconciliations and equity rollforward
  • Support the preparation of earning per share calculation
  • Support the preparation of forecast of stock-based compensation expense and share count, and as a liaison between various groups involved (i.e., FP&A, HR, Tax)
  • Support the SEC financial reporting process with the preparation of financial statements (i.e., equity rollforward) and related footnotes, completing related sections of the quarterly/annual disclosure checklists and tie-out to the 10Ks/10Qs filed with the SEC.
  • Prepare related information requests from external auditors (quarterly review, annual audit, SOX).
  • Ensure compliance with financial reporting controls, including the review and update SOX narratives and key controls.
  • Assist in the drafting/updating of related Company's policies.
  • Support on ad-hoc projects.

 Qualifications:

  • 7-10 years of combined public accounting experience within the technology industry.
  • Active Certified Public Accountant.

  • Strong ability to follow through the quarterly calendar deliverables, provide ongoing status updates and work on a collaborative/team environment.
  • High attention to the detail with a "detail-do-matter" approach in the preparation of financial statements.
  • Advocate for continuous process improvement, maximizing leverage from technology tools.
  • Strong "I-can-do-it" attitude is essential to take on new and challenging assignments.
  • Strong verbal and written communication skills are essential.
  • Strong team-player with the ability to work effectively as part of a team, yet function well with independent responsibilities.
