Freshworks is seeking an experienced corporate and securities counsel to join the Freshworks Legal team. This leader will perform a broad range of legal work with a focus on supporting all corporate, securities and compliance matters. The AGC will oversee and manage SEC and governance matters, manage corporate structure, support finance, accounting, marketing and investor relations functions, advise members of management on various issues within assigned areas, and support the General Counsel.

Summary of Responsibilities:

• Lead corporate, securities and compliance function

• Support all securities and compliance matters

• Lead drafting and filing of all securities and regulatory documentation

• Oversee and advise on SEC and governance matters

• Support finance, accounting, and investor relations departments

• Establish efficient processes for meeting all regulatory and compliance requirements

• Oversee and manage international subsidiary structure

• Assist where needed on other legal matters, both domestic and international

Required Skills and Experience:

• 10+ years of relevant legal experience in securities regulation and capital markets transactions, corporate M&A, corporate finance, corporate governance, and private equity/venture capital financing transactions with a combination of in-house public company experience and law firm experience with legal expertise

• Significant experience in the drafting and coordination of securities filings, including form 10-K, 10-Q, 8-K, proxy statements, and similar

• Bonus if you have experience in HR and Employment matters

• Excellent verbal and written communication, analytical, and interpersonal skills

• Ability to work both independently and collaboratively across diverse teams

• Ability to juggle and manage multiple priorities. Strong organizational and prioritization skills.

• A high-energy individual who inspires others through clarity and conviction of a shared 

• Juris Doctor (J.D.) and membership in one state bar or equivalent and the ability to practice in California
