Senior Legal Counsel will manage private-market investment transactions, including SPV diligence, offering reviews, fund structuring, securities regulatory analysis, investment-document drafting and negotiation, side letters, closings, and product counseling. The role partners with business, product, engineering, operations, and compliance teams while building scalable legal templates, playbooks, and workflows. Candidates need U.S. bar membership, a JD, and 4–7 years of relevant funds, securities, or capital markets experience.

Senior Legal Counsel will own commercial contracting, product counseling, corporate governance, entity management, employment matters, litigation, disputes, and subpoena responses. The role partners across product, engineering, operations, compliance, finance, and HR; builds legal processes, templates, playbooks, and intake workflows; and provides practical guidance for a growing regulated financial technology company.

Lead legal work for private-market investment products, including SPV and fund structuring, securities offerings, investor terms, partnerships, regulatory analysis, and product counsel. Draft and negotiate transaction documents, supervise outside counsel, manage deal execution, advise cross-functional teams, and build scalable legal templates, playbooks, and workflows. The role requires significant funds, securities, and private-markets experience and reports to the Head of Legal.
