The opportunity

Private markets hold some of the most valuable and innovative companies in the world, yet trading their equity still runs on email chains, PDFs and wire instructions. We believe that with the right infrastructure, private markets can become the biggest market in the world. Augment is building that infrastructure, end to end, to be the simplest experience for buying and selling shares in private companies.

As one of our core deal lawyers, you'll keep Augment's investment products moving, from diligence and offering reviews to SPV documents, side letters and closings. You'll help shape our investing playbook, build the templates behind it and help grow our legal team.

About Augment

Accredited and institutional investors use Augment to buy and sell shares in some of the world's most sought after private companies, including Perplexity, Kalshi, SpaceX (now public), and Glean. Augment was founded in 2022 with headquarters in Austin and an office in NYC.

We're growing fast:

· Raised $16.5M to date from investors including Builders VC, Neo, Golden Section, E1 Ventures and OPCO Ventures

· Profitable 50+ person team and growing, with an eight-figure annual revenue run rate, targeting 9 figures in 2027

· More than $2B in assets under management

· Experienced leadership from Google, Rubrik, UBS, Morgan Stanley, Credit Suisse, and Nasdaq Private Markets with our Chief Compliance Officer sitting on FINRA's Small Firm Advisory Committee

The Role

We're hiring a Senior Legal Counsel to serve as a core deal lawyer behind Augment's revenue-generating investment products. You'll report directly to our Head of Legal and work across product, engineering, business development, operations and compliance teams.

Every week we execute private market transactions: single-asset SPVs, multi-asset funds, side letters, escrow and settlement arrangements, and securities placements. Most of your time will go to running SPV diligence and offering reviews, drafting and negotiating investment documents, and getting deals closed. You'll also support fund structuring, PTP and securities regulatory review, and product counsel work on investment features.

You'll cover the full range of this work, from high-volume execution to non-standard deals that call for judgment. If you'd rather build a practice than inherit one, this is the seat.

🧑‍💻 You Will:

Run SPV diligence and offering reviews

· Run single-asset SPV diligence and offering reviews from Augment's playbooks, and flag deals that need escalation or a different approach

· Work with outside diligence counsel on reviews, including managing quality, turnaround and cost

· Negotiate buy-side investment terms, including side letters, to keep investments on Augment as consistent as possible

Draft and negotiate investment documents

· Draft and negotiate operating agreements, subscription documents, purchase agreements, side letters and related transaction documents

· Support the structuring and execution of Augment's multi-asset funds as the product ramps

· Handle NDAs and NCNDAs with investors, platforms and other counterparties, sharing that work with Augment's commercial lawyers

· Track side letter and investor obligations across the platform

· Support entity formation, governance and dissolution across a growing portfolio of investment vehicles

Support PTP structuring and securities regulatory review

· Run PTP structuring reviews for direct investments and for indirect investments that run through lower-tier vehicles, including the entity classification analysis at each layer

· Identify and work through Securities Act, Investment Company Act, broker-dealer and RIA considerations that affect deal execution, including Section 4(a)(7) resales, transfer restrictions and resale eligibility

· Help prepare conflict-of-interest disclosures, offering documents and investor disclosures

Serve as product counsel on investment features

· Partner with product, engineering, business development and operations to launch new investment features and structures

· Turn legal risk and structuring considerations into clear, launch-ready guidance that non-lawyers can act on

· Coordinate escrow, settlement mechanics and closing deliverables so transaction flows are legally sound and operationally executable

Build legal infrastructure

· Help build and maintain template libraries, playbooks and automated workflows so legal scales with deal volume. Augment is a software company, so you'll have engineers and product teams to help build what you design

🧠 You'd Fit in Well If:

· You enjoy high-volume deal work and want each deal to close faster and cleaner than the last

· You want to own outcomes, not just review someone else's work

· You can move quickly between big-picture structuring and line-by-line document markup

· You're comfortable doing hands-on work while building processes as you go, with lean resources

· You have strong judgment and know when a deal needs a different approach

· You build trust with counterparties, co-investors and internal stakeholders

· You're excited by businesses that combine software, financial infrastructure and securities operations

· You stay responsive, organized and calm when deals are closing

💡 Why Augment

· Upside. Meaningful equity in a venture-backed company that's already operating at scale, in a market we believe is just getting started.

· Ownership. You'll help shape Augment's investing playbook and structuring approach. Your templates will integrate into the product at scale.

· Scope. Funds, securities, private markets and product counsel work in one seat. Few in-house roles touch this much of a regulated financial business.

· Career path. You'll help build the legal team from the ground up, with room to grow into broader leadership as legal scales.

· No billable hours. No timesheets, no origination targets and no partnership lottery.

· Flexibility. We're remote-first, with Austin or New York preferred, and unlimited PTO.

· Timing. Private market secondaries are becoming core financial infrastructure. You'll help build the company defining how that market works.

👨‍🔧 Qualifications

Required

· JD from an accredited law school and active bar membership in at least one U.S. jurisdiction

· 4–7 years of experience as a practicing attorney at a law firm, in-house or both, with meaningful experience in funds, securities or capital markets work

· Experience drafting and negotiating fund, SPV or securities transaction documents, such as operating agreements, subscription agreements, purchase agreements and side letters

· Working knowledge of the Securities Act and Investment Company Act, and familiarity with broker-dealer and RIA regulatory frameworks

· Ability to manage high volume across multiple deals at once and to make practical calls quickly

· Excellent drafting skills, with strong attention to detail and commercial judgment

Bonus

· Private markets experience, such as secondary transactions, SPVs, private funds or private company share transfers

· Familiarity with PTP rules and entity classification analysis

· In-house experience at a bank, asset manager, financial services or fintech company

· Experience working with outside counsel or building playbooks for high-volume work

· Willingness to obtain securities licenses (e.g., Series 7, Series 63, Series 65)

🏄‍♂️ Benefits

· Meaningful equity in a profitable, high-growth company

· 100% employer-paid medical, dental and vision coverage for employees

· Unlimited PTO

· Remote, with New York preferred

The U.S. base salary for this role is $160,000 to $215,000 a year, depending on level, experience and demonstrated responsibility, plus equity. Total compensation may also include other components or benefits, depending on the role.

Why This Role Matters

Augment's deal volume and complexity are growing fast. Every SPV, side letter, fund and new investment product we launch needs careful execution and skilled negotiation. You'll help build the legal foundation that lets Augment scale, protects our investors and helps define how private markets operate.
