About the Role

Flow is seeking its next Assistant General Counsel to lead a high-performing, five-person and growing legal team and serve as a strategic and hands-on operational partner to the executive team. This is a rare opportunity to step into a managing legal seat with professional growth opportunity at a fast-scaling, investor-backed vertically integrated real estate company with serious global ambitions across sectors and verticals.

You will own the full legal function - from corporate governance and M&A to real estate transactions, IP strategy, product counseling, and litigation. You'll sit at the executive table, move fast, and build the legal infrastructure that lets the business scale without linear headcount growth.


Responsibilities

    Operational Business Partner

  • Advise the core elements of our business on all issues that with legal implications, including leases, resident relationship management, vendor management, and supporting new business initiatives.
  • Intellectual Property & Patent Strategy
  • Own end-to-end IP strategy, including patent prosecution, portfolio management, trade secret protection, and IP enforcement globally.
  • Advise product, engineering, and business teams on IP and competitive positioning.
  • Product & Technology

  • Advise product and engineering teams on technology development, software licensing, open-source compliance, and API partnerships
  • Manage data privacy, cybersecurity, technology law compliance, and support the legal architecture for novel business technology systems
  • Legal Operations & AI

  • Champion a technology-forward legal department with AI-assisted workflows across contract lifecycle management, matter triage, compliance monitoring, and regulatory tracking.
  • Build reusable legal infrastructure, scalable SOPs, and playbooks that reduce outside counsel dependency and support a growing team
  • Evaluate and deploy agentic legal tools to handle high-volume, lower- complexity matters.
  • Product & Technology

  • Advise product and engineering teams on technology development, software licensing, open-source compliance, and API partnerships

  • Legal Operations & AI

  • Litigation & Dispute Resolution

  • Own the company’s litigation docket: triage, prioritize, and direct all active matters—from commercial disputes and construction claims to IP enforcement actions.
  • Select and manage outside litigation counsel; set strategy, control budgets, and negotiate alternative fee arrangements to manage cost exposure.
  • Marketing, Brand & Commercial

  • Advise on advertising law, consumer protection, promotions, influencer agreements, and endorsement disclosures across domestic and international markets
  • Review and approve marketing campaigns, brand partnerships, and co- marketing arrangements, and draft and negotiate sponsorship, content licensing, and agency agreements
  • Team Leadership & Development

  • Recruit and retain top legal talent as the company scales; build team structures and specializations to match business growth across geographies and product lines.
  • Embed attorneys as trusted partners within business units and establish OKRs and matter-management systems that give the team clear priorities aligned to company milestones.
  • Corporate Governance & Transactions

  • Serve as legal advisor to the executive team on strategic transactions, governance, equity, and financing matters across a multi-entity global structure.
  • Lead and manage M&A, joint venture, and strategic transactions, including term sheet negotiation, due diligence, and closing documentation.
  • Oversee global equity compensation programs and entity governance, including consent mechanics, delegation frameworks, and indemnification provisions
  • Real Estate & Development

  • Oversee all real estate legal matters globally — acquisitions, development, condominiums, portfolio transactions, construction, permitting, licensing, and operational agreements
  • Oversee property management at scale, including tech-enabled replicable processes and procedures. 
  • Partner with finance on entity and deal structuring, including real estate financing and tax optimization strategies.

Ideal Background

  • JD from an accredited law school; active bar membership required.
  • 10-12+ years of legal experience, with a strong foundation in Big Law followed by a senior in-house leadership role; experience spanning real estate, technology, or complex commercial environments preferred.
  • Current role as an AGC or equivalent level.
  • Proven track record navigating complex, multi-entity structures across jurisdictions in a VC- or PE-backed, high-growth environment.
  • Demonstrated ability to build and scale legal teams and infrastructure without linear headcount growth.
  • Broad substantive range with the judgment to go deep when required and deploy specialists when not.

  • Battle-tested judgment: calm under pressure, decisive with incomplete information, and able to distinguish the fights worth having from the ones that aren’t.
  • Leadership presence and executive credibility: able to influence cross- functional leaders
  • Miami-based or willing to relocate; this role is on the ground with the business
