The Role

As an Associate Commercial Contract Counsel, you’ll play a key role in shaping how we do business – driving efficiency, reducing is a pivotal role responsible for managing the full lifecycle of contracts—from creation and negotiation to execution. This role ensures that all contractual obligations are met efficiently and in alignment with business goals and compliance standards. You will collaborate closely with Legal, Finance, Growth and Operations to support both the core business and emerging growth initiatives. This position plays a critical role in enabling strategic partnerships and driving operational excellence through robust contract management.

Key Responsibilities
  • Lead the full commercial contract lifecycle including intake, drafting, redlining, negotiation, execution, and renewal tracking.

  • Assist General Counsel with large client contracts and RFP responses

  • Maintain a centralized contract repository, ensuring version control and compliance with internal policies.

  • Draft and review a wide range of agreements, including vendor, network, client, partnership, and licensing contracts.

  • Support internal stakeholders during negotiations by aligning contract terms with business objectives and risk tolerance.

  • Ensure all contracts meet regulatory and legal standards.

  • Serve as the primary liaison between Legal, Finance, Growth and Operations to ensure contract terms are operationally feasible and financially sound.

  • Coordinate with business owners to gather requirements and ensure timely execution of deliverables.

  • Develop and maintain contract templates, playbooks, and approval workflows.

  • Track key contract metrics (e.g., renewal dates, SLAs, penalties) and provide regular reporting to leadership.

  • Support audits and regulatory reviews by ensuring documentation is complete and accessible.

  • Perform basic legal research in areas of law such as commercial, e-commerce and privacy.

About You

You’re detail-oriented, process-driven, and thrive in a fast-paced environment. You bring structure to ambiguity and are passionate about enabling business growth through commercial contracting excellence. You’re excited to bring legal expertise and business acumen together to help us scale responsibly and strategically.

  • JD or equivalent legal degree required

  • Minimum 3 years of experience drafting, reviewing, and negotiating commercial contracts.

  • Proven ability to serve as the contract lead for commercial vendor contracts, acting as the primary liaison between Legal, Growth, Finance, and Operations teams.

  • Deep knowledge of contract lifecycle management, including negotiation, drafting, risk assessment, and compliance monitoring.

  • Strong understanding of regulatory frameworks and corporate governance.

  • Excellent communication and interpersonal skills, with the ability to influence and educate stakeholders at all levels.

  • Highly organized, detail-oriented, and comfortable working in a fast-paced, dynamic environment.

  • Proven ability to partner effectively with cross-functional teams and influence stakeholders.

  • Familiarity with Medicare, payer networks, or supplemental benefits is a strong plus, but not required.

Work Location & Eligibility

One Pass Solutions, Inc. offers a flexible work environment. We operate as a hybrid company in the Minnesota–St. Paul Tri-Cities area, where team members are expected to work in-office three days per week. We also support remote work across a number of U.S. states.
