Zscaler is seeking a highly motivated and business-oriented attorney with experience negotiating a variety of complex inbound and outbound agreements to join our Commercial Legal team. The Commercial Counsel will provide support to Zscaler’s Sales, Partners & Alliances, Procurement, and Business Development teams. Reporting to our Associate General Counsel, Channel & Commercial, you’ll be responsible for:

  • Reviewing and negotiating SaaS agreements, DPAs, security exhibits, BAAs, and NDAs with our customers
  • Negotiating Reseller, MSSP, and other partnership agreements with our channel and strategic partners
  • Drafting, reviewing, and negotiating Zscaler’s vendor agreements, including SaaS and software agreements (including the use of AI/ML), data center, cloud services, security addenda, and DPAs
  • Providing legal advice and guidance to Zscaler’s sales, channel, procurement and other internal clients
  •  Updating templates and playbooks as needed

What We're Looking for (Minimum Qualifications): 

  • Law degree from an accredited U.S. law school and an active admission to a State Bar
  • 5-7 years of experience drafting and negotiating a wide range of complex agreements with strong attention to detail and excellent legal and business judgment
  • Significant commercial transactions background in technology and SaaS
  • Knowledge of data privacy and security issues in the technology space (CCPA, GDPR, etc.) and experience drafting and negotiating data privacy and data security terms
  • Experience working with large multinational partners, vendors, and customers

  • Experience both in-house at a technology company and at a law firm
  • Ability to collaborate with both legal and non-legal colleagues
  • Flexibility, sense of humor, and eagerness to work hard in fast-paced environment and meet tight deadlines, especially at end of quarter

Zscaler’s salary ranges are benchmarked and are determined by role and level. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations and could be higher or lower based on a multitude of factors, including job-related skills, experience, and relevant education or training.

The base salary range listed for this full-time position excludes commission/ bonus/ equity (if applicable) + benefits.

Base Pay Range
$140,000$200,000 USD
