About the Role
OpenLoop is looking for a Commercial Counsel to join our team remotely or at HQ in Des Moines, IA. In this role, you will be responsible for providing legal support across OpenLoop’s commercial operations, including contract drafting and negotiation, compliance review, risk mitigation, and advising internal teams on a wide range of legal matters. You will partner closely with Sales, Client Success, Operations, and Product to help structure deals, streamline processes, and ensure OpenLoop’s continued growth in a highly regulated environment.
What You'll Do
- Draft, review, and negotiate a wide variety of commercial agreements, including MSAs, SaaS agreements, BAAs, NDAs, and vendor contracts.
- Partner with Sales and Business Development teams to support deal structuring, proposal reviews, and client onboarding.
- Provide counsel on telehealth regulatory considerations, data privacy, and healthcare compliance topics impacting commercial activities.
- Develop and refine contract templates, playbooks, and internal processes to improve efficiency and scalability.
- Advise internal stakeholders on legal risks and provide practical, business-oriented solutions.
- Collaborate cross-functionally with Compliance, Finance, Product, and Operations to align legal strategy with organizational goals.
- Manage and track contract lifecycle workflows, ensuring timely execution and accuracy of documentation.
- Other duties as assigned.
Who You Are
- Juris Doctor (JD) from an ABA-accredited law school; active license to practice in at least one U.S. jurisdiction.
- 3-6+ years of experience in commercial contracting, preferably in healthcare, telehealth, SaaS, or a high-growth startup environment.
- Strong understanding of contract law, data privacy (HIPAA preferred), and regulatory frameworks impacting digital health.
- Excellent negotiation, drafting, and communication skills with the ability to translate complex legal issues into clear, practical guidance.
- Detail-oriented, organized, and able to manage multiple priorities in a fast-paced environment.
- Collaborative and business-minded, with a proactive approach to problem-solving.
