We help business owners build AI-enabled financial systems by integrating accounting, payroll, financial reporting, tax planning, and advisory services into one coordinated financial operating system.

As part of our continued growth, we are expanding our legal advisory capabilities by partnering with experienced business attorneys who can provide legal guidance to our clients while working collaboratively with our accounting, tax, and advisory teams.

Position Summary  

We are seeking an experienced Business Attorney to provide legal services to BFG clients on a contract basis.

This role will primarily support business owners with entity formation, corporate governance, operating agreements, shareholder and partnership agreements, and other business legal documentation.

The attorney will also collaborate with BFG's CPA Advisors, Client Finance Managers, and Tax Planning team to ensure clients receive coordinated legal and financial guidance.


Primary Responsibilities  

Business Formation  

Advise clients on selecting the appropriate legal entity, including:

  • Limited Liability Companies (LLCs)

  • S Corporations

  • C Corporations

  • Partnerships

  • Professional Entities

Assist with:

  • Entity formation

  • State registrations

  • EIN application guidance

  • Organizational documents

Corporate Governance  

Prepare and review:

  • Operating Agreements

  • Corporate Bylaws

  • Initial Organizational Resolutions

  • Annual Meeting Minutes

  • Corporate Resolutions

Partnership & Ownership Agreements  

Draft and review:

  • Partnership Agreements

  • Buy-Sell Agreements

  • Shareholder Agreements

  • Membership Interest Purchase Agreements

  • Ownership Transfer Agreements

Business Legal Advisory  

Provide legal guidance regarding:

  • Business ownership structure

  • Partner disputes

  • Ownership transitions

  • Corporate compliance

  • Governance best practices

Client Consultations  

Conduct virtual consultations with BFG clients regarding:

  • Business formation

  • Corporate restructuring

  • Ownership changes

  • Business expansion

  • Legal risk considerations

Collaboration with BFG Team  

Work closely with:

  • CPA Advisors

  • Client Finance Managers (CFMs)

  • Tax Planning Team

  • Accounting Managers

  • Sales Team

Provide coordinated legal recommendations that complement BFG's accounting and tax strategies.

Qualifications  

  • Juris Doctor (J.D.)

  • Active U.S. Bar License

  • Minimum 5 years of business law experience

  • Strong knowledge of business entity structures

  • Excellent written and verbal communication skills

  • Comfortable working remotely

  • Experience conducting Zoom consultations

Preferred Skills  

  • Strong client advisory skills

  • Practical business mindset

  • Ability to explain legal concepts in plain English

  • Collaborative approach with accountants and tax advisors

  • Technology-friendly

  • Experience using cloud-based legal tools
