We are seeking a highly driven, detail-oriented Contracts Specialist to join our legal and commercial teams in Austin, Texas. This role sits at the intersection of contract administration and document control, supporting the full lifecycle of Aypa's supply, service, and EPC contracts — from drafting and negotiation support through execution, tracking, and recordkeeping. The ideal candidate is a seasoned contracts professional and an extremely organized self-starter with expert-level command of Microsoft Word redlining and document-comparison tools, Adobe Acrobat, and e-signature platforms. The candidate is capable of turning counterparty markups into clean, execution-ready documents at high volume and documents with precision and staying focused under pressure in a fast-paced, entrepreneurial environment. 

Responsibilities 

  • Serve as the primary gatekeeper for all contract documents, maintaining rigorous document and version control across all forms, contracts, and exhibits; 
  • Own the intake and turn-by-turn processing of documents received from counterparties; confirming that a received markup matches its transmittal, reconstructing tracked changes where a counterparty returns an untracked or flattened draft, scrubbing metadata before anything goes back out, and maintaining a clear audit trail of every version;
  • Support incorporation of Aypa standard terms and exhibits into battery and solar PV supply, service, and EPC contracts, ensuring adherence to contract templates and documentation principles;
  • Prepare initial drafts of, and perform initial review on contracting documents at each turn, driving documents toward execution within expected timelines;
  • Work with internal stakeholders and external counsel on supply and EPC contracts, progressing exhibits and deal terms to completion;
  • Collaborate with legal, finance, engineering, procurement, and commercial teams (including the Contracts, Procurement, and Pre-Construction managers) to structure optimal contract scoping and incorporate negotiated terms into agreements, ensuring alignment with project requirements and objectives;
  • Maintain contracting dashboards and trackers to monitor deal progression;
  • Assemble execution packages, compiling exhibit sets, preparing signature blocks and issuing fully executed conformed copies to the deal team and the records repository;
  • Deploy corporate contracting tools, templates, processes, systems, and guidelines;
  • Other duties as assigned or required. 

Key Qualifications 

  • Bachelor's degree, or a degree in contract management, construction/project management, or a related field or relevant experience;
  • Two to five years of experience in contract administration, contract management, paralegal, or transactional support roles; hands-on experience with EPC or equipment supply contracting in energy storage, renewables, or utility-scale infrastructure strongly preferred;
  • Demonstrated expert-level command of Microsoft Word for contract work: Track Changes and comment workflows, Compare and Combine, styles, multilevel clause numbering and cross-references. Proficient in the use of Excel, Outlook, Adobe Acrobat, and Adobe Sign, and the ability to manage complex, high-volume document workflows. Candidates should expect a practical redlining and document-cleanup exercise as part of the interview process;
  • Working familiarity with the substance and structure of EPC and equipment supply agreements in the energy sector, scope of work and exhibit sets, milestone payment and delivery schedules, limited notice to proceed and notice to proceed, change orders, liquidated damages, performance guarantees and warranties, bonding and parent guarantees, and interconnection and permitting deliverables — sufficient to recognize when a counterparty turn changes something material;
  • Extreme attention to detail with a rigorous, disciplined approach to document and version control;
  • Highly driven self-starter who can work independently, remain focused and on task, and manage numerous competing priorities in a high-volume, fast-paced environment;
  • Extremely organized, with excellent planning skills and the ability to plan, oversee, and personally execute multiple projects simultaneously;
  • Exceptional written and verbal communication skills;
  • Strong interpersonal and diplomatic skills, with the ability to interact effectively with people at all levels of the organization;
  • Comfortable using AI-assisted contract review and drafting tools, with a clear-eyed understanding of their limitations and the discipline to verify every output against the source document;
  • Highest standards of ethics and integrity;
  • Ability to thrive in an entrepreneurial environment and adjust to changing priorities under pressure. 

Compensation and Location 

Salary: A base salary commensurate with experience. 
Bonus: An annual bonus will be awarded based on both individual performance and the overall success of the business.

Location: Remote (USA). The ability to work in the United States is a requirement.
Travel: Candidate must be willing to travel 10–15% for direct vendor negotiation and industry trade shows.
