The Corporate Counsel - Commercial Transactions & Privacy serves as a trusted legal and business advisor supporting SAI360's commercial operations throughout North America and, as needed, globally. Working directly with the Global Head of Legal, this role partners closely with Sales, Finance, Product, Information Security, Customer Success, Human Resources, and executive leadership to negotiate sophisticated technology transactions, provide practical legal advice, and help drive strategic business initiatives. This role offers broad exposure across commercial contracting, privacy, artificial intelligence, cybersecurity, corporate governance, employment, and other legal disciplines. It is well suited for an attorney who enjoys solving business problems, building trusted relationships, and developing a well-rounded in-house practice while making a meaningful impact on the Company's continued growth.


  • Draft, review, and negotiate customer, reseller, partner, vendor, licensing, SaaS, professional services, and other commercial agreements.
  • Negotiate Data Processing Agreements (DPAs), Business Associate Agreements (BAAs), Non-Disclosure Agreements (NDAs), and information security terms.
  • Partner with business stakeholders to identify practical, commercially focused solutions while appropriately managing legal risk.
  • Provide legal guidance on privacy, artificial intelligence, cybersecurity, regulatory compliance, and other emerging legal issues affecting the business.
  • Support corporate governance, employment, vendor, operational, and other general corporate legal matters.
  • Develop, maintain, and improve contract templates, negotiation playbooks, and legal processes that increase consistency and operational efficiency.
  • Manage outside counsel, consultants, and other external legal resources, as appropriate.
  • Independently manage assigned matters while appropriately escalating significant legal, commercial, or strategic issues.
  • Support strategic Legal initiatives and other business-critical projects as the Company's needs evolve.

What you’ll bring to the table:  

  • Juris Doctor from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction and in good standing.
  • Experience negotiating commercial agreements within a SaaS, software, technology, cloud services, or other commercial technology environment.
  • Candidates should demonstrate the ability to independently manage commercial transactions and provide practical, business-oriented legal advice.
  • Experience with software licensing, technology transactions, privacy, cybersecurity, or information security matters is preferred.
  • Excellent written, verbal, negotiation, and interpersonal communication skills.
  • Demonstrated ability to communicate complex legal concepts in clear, practical business terms.
  • Strong organizational and analytical skills with the ability to manage multiple matters while exercising sound judgment.
  • Demonstrated commitment to professionalism, integrity, and client service.

The Successful candidate will:

  • Exercise sound business judgment while balancing legal risk with commercial objectives.
  • Take ownership of matters from initial intake through resolution with appropriate independence and accountability.
  • Build collaborative relationships across Legal, Sales, Finance, Product, Information Security, Customer Success, Human Resources, and executive leadership.
  • Deliver timely, thoughtful, and business-focused legal guidance that supports company objectives.
  • Continuously identify opportunities to improve legal processes, templates, and operational efficiency.
  • Demonstrate intellectual curiosity, adaptability, and a willingness to learn new areas of law and technology.
  • Contribute positively to a collaborative Legal team culture built on trust, accountability, continuous learning, and mutual respect.

  

As required by applicable Pay Transparency laws, the base salary range for this position is $125,000 - $145,000 plus 5% bonus. Exact compensation may vary based on skills, experience, and location.
