Ouster, Inc. is seeking a Corporate Counsel, Corporate Governance and Securities, to join the Legal Department, reporting to the Deputy General Counsel.
Responsibilities include the following:

 
  • Assist with Periodic SEC reporting;
  • Assist with the Proxy Statement and matters relating to annual shareholder meeting;
  • Advise on insider trading compliance, including Section 16 and 10b5-1 trading plans;
  • Assist with preparing registration statements;
  • Assist with Section 16 reporting requirements, including preparing and reviewing Forms 3 and 4, as well as other aspects of company stock administration 
  • Provide securities- and governance-related support for mergers and acquisitions, strategic investments and other corporate transactions;
  • Provide Board of Directors support;
  • Assist with drafting intercompany agreements and vendor contracts
  • Assist with NASDAQ listing/governance requirements;
  • Assist with domestic and international subsidiary governance and compliance matters;
  • Advise on and implement corporate governance requirements and best practices;
  • Assist with SOX and other compliance matters;
  • Partner with global cross-functional teams, including Investor Relations, Treasury and Tax on various projects.
 

Required Skills and Experience:

 
  • At least 2-3 years of experience in corporate & securities matters, with at least 2 years in a major law firm;
  • Juris Doctorate, admitted to practice law in California;
  • Prior experience with public company disclosure requirements, including drafting and reviewing proxy statements, SEC filings, including Section 16 filings.
  • Outstanding drafting and communication skills, with an acute attention to detail;
  • Team player with ability to collaborate cross-functionally;
  • Ability to work independently in a fast-paced, rapid-growth environment;
  • Excellent organizational and problem-solving skills;
  • Flexibility to adjust priorities and manage time wisely;
  • Intellectual curiosity and a willingness to take on new challenges in all areas of law;
  • Positive attitude and a desire to be part of a strong, supportive team; and
  • Microsoft Office (Outlook, Excel, PowerPoint) and Google Suite proficiency.

The base pay will be dependent on your skills, work experience, location, and qualifications. This role may also be eligible for equity & benefits. ($180,000 - $230,000)
