 A day in the life 

Join a leading multinational REIT as we are expanding our Strategic Capital legal team. With a global presence and dynamic environment, we are seeking a Director, Fund and Joint Venture Formation Counsel to assist with major initiatives globally and support the ongoing management of existing Prologis vehicles and the Prologis Strategic Capital businessThe role is expected to be based in San Francisco although we are open to discussing other Prologis office locationsWe are looking for a self-starting, problem solving, pro-active, critical thinker to help the Strategic Capital team achieve its goals in a global, fast-paced, collaborative environment.  

 

Key responsibilities include: 

 

  • Assist leading new joint venture and fund formation processes, including negotiating strategic business terms and identifying and addressing legal, tax and structuring issues for future investors, Prologis and the real estate involved. 

  • Project manage Joint Venture and fund formation process, including preparing and owning timelines, process plans and coordinating between various groups within Prologis. 

  • Collaborate with internal Prologis teams to align and ensure that structure and operations proposed will be manageable within Prologis existing corporate structure and operations routines and obtain internal approvals.  

  • Assist with negotiating and drafting legal documentation in conjunction with outside counsel.  

  • Be a business partner and problem-solver for Prologis’ existing and future joint ventures, including data center joint ventures.  

  • Understand international transaction structures and participate in discussions of, and perform analyses to minimize, tax impact and legal risk to Prologis, investors and Joint Venture partners. 

  • Provide transactional legal work from time to time as needed.  

 

 

 

Building blocks for success 

 

Required: 

  • 8+ years of experience in Joint Ventures and/or fund formation transactions.   

  • Juris Doctor degree required 

  • Able to lead cross-functional teams. 

  • Able to demonstrate expertise in leading complex transactions. 

  • Broad knowledge base and “big picture” strategic thinking. 

  • Able to make decisions in the absence of perfect informationConfident in making recommendations, escalating risks and identifying solutions to senior leaders appropriately and transparently. 

  • Results-oriented with significant project and time management experience. 

  • Demonstrate self-confidence with senior management and mature conduct in high pressure and sensitive situations.  

  • Excellent verbal and written communication and negotiation skills.   

  • Focused on continuous improvement and efficiency. 

  • Knowledge of financial statements and accounting principles preferred. 

  • Excellent team player with a positive attitude, strong work ethic, and a ‘get-the-job- done’ mentality. 

 

Preferred: 

  • Familiarity with commercial and institutional real estate practices preferred, knowledge of U.S. REIT regime a plus.   

Hiring Salary Range of: $187,000 - $234,000. Salary and whole compensation package (bonus target & LTI (Long Term Incentives) to be determined by the candidate’s location, education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.
