Role Overview

We are seeking an accomplished Director of Legal to lead and scale our commercial, product, and compliance legal functions and to provide executive leadership of Eltropy’s AI program. This pivotal role will serve as a strategic partner to Sales, Customer Success, Finance, Product, and Security, shaping contracting best practices, implementing and overseeing safe AI best practices across the company and driving efficiency while managing risk. The Director will be responsible for building a high-performing legal function, optimizing the contract negotiation workflows, and serving as the primary escalation point for complex, high-value customer engagements and regulatory issues.

Key Responsibilities

Commercial Contracting & Legal Operations

  • Draft, review and negotiate a high volume of commercial agreements, primarily complex SaaS MSAs with sophisticated financial institution customers.
  • Manage and negotiate vendor, partnership, and technology licensing agreements.
  • Engage directly with internal stakeholders and customers to negotiate commercial terms, data protection agreements, information security addenda, and AI usage provisions; clarify approval processes for complex transactions.
  • Own legal playbooks, fallback positions, and clause libraries, delivering actionable guidance that improves deal velocity and protects margin while maintaining compliance.

Product & Regulatory Compliance:

  • Serve as the primary legal advisor to our Product and Engineering teams throughout the entire product development lifecycle.
  • Provide expert guidance on compliance with laws and regulations governing our services, including but not limited to:
    • Telecommunications: TCPA, CAN-SPAM, CTIA guidelines, and state-level analogues.
    • Data Privacy & Security: CCPA/CPRA, GLBA, and other relevant state and federal privacy laws.
    • Financial Services: Advise on compliance issues related to serving the CFI market.
  • Counsel our AI product teams on novel legal issues related to data usage; develop and implement scalable policies, procedures, and guardrails to ensure our platform and new AI features are compliant by design.

Corporate & General Legal:

  • Advise on corporate governance, employment law matters (in partnership with HR), intellectual property (trademark and patent portfolio), and equity management.
  • Manage corporate records and assist with any future financing or M&A activities.
  • Select and manage outside counsel effectively to provide scalable, cost-effective support.

Strategic Leadership & Stakeholder Management

  • Lead, mentor, and scale a team of legal professionals, fostering a culture of operational excellence, compliance, and continuous improvement grounded in Eltropy’s values: Customers are our North Star, No Fear - Tell the truth, and Team of Owners.
  • Collaborate closely with Sales, Finance, Product, and Security to define and enforce contracting playbooks, AI-safe drafting standards, data protection terms, and approval matrices; chair or co-chair the cross-functional AI governance forum.
  • Act as the primary legal escalation point for non-standard commercial terms, data privacy, information security, and regulatory matters, ensuring alignment with corporate strategy and risk tolerance.

Qualifications & Experience

  • Juris Doctor (JD) or equivalent law degree required; active bar membership in good standing.
  • 7+ years of progressive legal experience (commercial/technology transactions), including at least 3+ years of in-house at a technology company (SaaS experience is strongly preferred).
  • Proven success building and leading high-performing legal or legal operations teams.
  • Deep, hands-on experience negotiating complex commercial contracts.
  • Proven expertise
    in product counseling in a regulated space. Deep, practical TCPA compliance expertise is required; demonstrated experience advising on data privacy laws (e.g., CCPA/CPRA, GLBA) is also expected.
  • A pragmatic, business-minded approach to problem-solving, with the ability to provide both strategic and tactical counsel. You understand that the goal is to enable the business, not to be the "department of no." 
  • Occasional travel may be required for team or customer engagements.
