The North America General Counsel will serve as the senior legal leader responsible for overseeing all legal, regulatory, and policy matters across the Company’s operations in the United States and Canada. The role provides strategic legal guidance to executive leadership, manages complex regulatory frameworks affecting the AI, data center, cryptocurrency, and semiconductor industries, and ensures compliance with U.S. laws and national security regulations.

What you will be responsible for

Data Center, AI Infrastructure & AI Colocation Projects

  • Provide legal guidance on all aspects of data center, AI infrastructure, and AI colocation projects, including bidding processes, construction agreements, regulatory compliance, and operational contracts.
  • Review, draft, and negotiate contracts with vendors, contractors, customers, and other third parties involved in data center development, AI infrastructure deployment, and AI colocation services.
  • Advise business teams on legal and regulatory issues related to high-performance computing, GPU clusters, and AI colocation operations.

Export Controls & Regulatory Compliance

  • Advise on U.S. export control and sanctions regulations, including compliance with the Export Administration Regulations (EAR) and other national security–related regulatory frameworks.
  • Provide legal guidance on regulatory issues related to AI technologies, advanced computing, semiconductor hardware, and related infrastructure.
  • Monitor legal and regulatory developments affecting the data center, cryptocurrency, AI, semiconductor, and technology sectors.
  • Work closely with internal teams to ensure compliance with applicable laws, regulations, and industry standards.

Litigation & Dispute Management

  • Manage litigation, regulatory inquiries, and other disputes involving the Company in North America.
  • Coordinate with and oversee external counsel in handling litigation, investigations, and dispute resolution matters.
  • Develop strategies to mitigate litigation risk and resolve disputes efficiently.

Employment Law

  • Advise on employment matters, including hiring, termination, employee policies, and compliance with U.S. federal and state labor laws.
  • Manage employee-related disputes and coordinate with external counsel as necessary.

Risk Management

  • Identify, assess, and mitigate legal risks associated with the Company’s operations in North America.
  • Provide proactive legal advice to senior management on compliance and operational risks.

Corporate Governance

  • Oversee corporate legal matters, including entity management, governance, and compliance.
  • Draft and review corporate policies, procedures, and agreements to ensure alignment with legal and regulatory requirements.

Legal Team Leadership & External Counsel Management

  • Build and lead the North America legal team to support the Company’s business growth and regulatory compliance needs.
  • Manage and coordinate external counsel across litigation, regulatory, corporate, and transactional matters to ensure efficient and effective legal support.
  • Oversee legal budgets and optimize the use of outside legal resources.

How you will stand out

  • J.D. degree from an accredited U.S. law school and admission to practice law in at least one U.S. jurisdiction.
  • 10+ years of legal experience, preferably including in-house experience at a technology, semiconductor, data center, or infrastructure company.
  • Strong experience in export controls, sanctions, technology regulation, or national security regulatory matters.
  • Experience supporting large-scale infrastructure projects (data centers, energy projects, or technology infrastructure).
  • Familiarity with regulatory frameworks affecting AI, high-performance computing, cryptocurrency, and semiconductor technologies is highly desirable.
  • Proven ability to provide strategic legal guidance to senior executives and cross-functional teams.
