About this role:

Wells Fargo is seeking a Lead Paralegal who will be a member of the Legal Department and support the company’s corporate governance, legal entity structure reporting, corporate treasury, and securities law compliance activities.

In this role, you will:

  • Provide support on a variety of corporate governance and securities law related matters, including stock ownership reporting with the SEC, legal entity monitoring, structure reporting with the Federal Reserve, and public company disclosures.
  • Prepare Section 16 stock ownership forms for directors and executive officers to report their stock ownership with the SEC and monitor stock ownership levels.
  • Assist with securities law filings in both the United States and United Kingdom and ensure appropriate controls are maintained.
  • Coordinate with other members of the team on preparing the company’s legal entity structure reports (FR Y-10 and FR Y-6) with the Federal Reserve, while ensuring appropriate controls and legal entity tracking are maintained.
  • Collaborate with corporate governance and securities lawyers to maintain efficient governance practices, internal controls, and compliance activities.
  • Provide backup support for a variety of corporate treasury activities, including due diligence activities and the issuance of preferred stock dividends.
  • Work independently on complex assignments, including regulatory reporting, transactions and projects.
  • Support highly complex areas within the department requiring advanced analytical, written and oral communication, and organizational skills.
  • Work closely with risk, compliance and audit in order to respond to reporting inquiries.
  • Recognize and properly escalate significant matters.
  • Provide support to attorneys and enterprise functions.
  • Collaborate and consult with internal partners to resolve inquiries and issues.

Required Qualifications:

  • 5+ years of Paralegal experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education.

Desired Qualifications:

  • 5+ years of demonstrated sound knowledge and experience working on corporate governance, SEC, and securities law compliance matters.
  • Strong corporate governance and securities law background, including demonstrated knowledge of Section 16 reporting and legal entity governance.
  • Significant experience supporting substantive corporate governance and securities law matters.
  • Familiarity with legal entity structure reporting with the Federal Reserve.
  • Strong attention to detail and accuracy.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to work effectively in a complex environment with a high degree of collaboration.
  • Financial services industry experience.
  • Ability to analyze, develop, and support solutions to complex legal issues and activities.

Job Expectations:

  • Ability to work a hybrid schedule (in office at least 3 days a week) at one of our approved job posting locations.
  • This position is not eligible for Visa sponsorship

Pay Range
 

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.

$35.14 - $74.95
