Job Description

Location: Remote within the continental United States - preferably based in PST or MST timezones

Term: Fixed Term Contract (12 months)

We’re looking for a commercially-minded Legal Counsel (Contract) to play a critical role at the intersection of legal, product, and revenue as we integrate our recent acquisition of itel and continue to scale our North America business. In this role, you’ll lead key legal workstreams tied to vendor contract integration while partnering closely with Sales, Go-To-Market, and Operations teams to support high-impact deals. You’ll be hands-on in negotiating, drafting, and structuring complex enterprise SaaS and data licensing agreements—primarily within the insurance sector—helping the business move quickly while thoughtfully managing risk. 

This is a highly visible opportunity to act as a true business partner, advising on deal strategy, navigating nuanced legal and regulatory considerations (including data privacy and emerging technologies like AI/ML), and representing the company in negotiations with customers and opposing counsel. You’ll work cross-functionally across a global organization, contributing to broader legal initiatives while ensuring compliance with evolving laws and industry standards. The ideal candidate brings a pragmatic, solutions-oriented mindset—someone who can translate complex legal concepts into clear, actionable guidance and thrive in a fast-paced, collaborative environment. 

While this role is initially structured as a contract position, there is a strong opportunity for it to convert to a permanent role based on performance and business needs—making it an excellent entry point for someone looking to make a meaningful impact and grow with the organization over time. 

Key Responsibilities

  • Manage legal workstream for vendor contract integration, including defining fit for purpose approach, drafting, reviewing, and negotiating external-facing product and vendor contracts; 
  • Supporting the North American sales organization and go-to-market efforts by 
  • Advising the sales and partnerships teams on deal structure and contract negotiations, including advising on legal risks and legal liabilities associated with contractual arrangements; 
  • Representing Nearmap’s interests and interfacing directly with opposing counsel and negotiation teams; 
    • Attending to legal-related requests and enquiries from internal stakeholders 
    • Attending to legal-related external customer support requests and enquiries; 
  • Ensuring compliance with applicable laws, including those specific to the insurance sector and data privacy; and 
  • Working with the global legal team on projects as needed.  

Compliance with Nearmap values, policies and standards, and ensure compliance with all local statutory requirements. 

  • Adhere to company guidelines and the corporate Code of Conduct; 
  • Act in an ethical way when dealing with company assets and other people; 
  • Comply with all applicable legislative requirements; 
  • Where appropriate keeps up to date with legislative requirements. 

 

Qualifications

Experience

  • JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States.  
  • Minimum 5-8 years legal experience, with a combination of in-house experience (ideally within an insurance or SaaS environment) and law firm transactional experience preferred; 
  • Strong experience in drafting and negotiating complex enterprise contracts, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving artificial intelligence, machine learning and machine derived attributes, and data privacy; 
  • Ability to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk; 
  • Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language.  

Skills

  • Strong interpersonal communication skills needed to be an effective business partner; 
  • Strong time management, prioritization, and organizational skills 
  • Able to handle matters with minimal supervision; 
  • Proficient in MS Office suite of products and experience with systems such as Salesforce, Conga, JIRA, and Slack preferred.

  • Strong interest in technology; 
  • Able to communicate and interact effectively at all levels and collaborate across operating locations.
