About the Role

We are looking for a Senior Product Counsel to innovate at the intersection of crypto and securities law at Figure, a Nasdaq-listed financial technology company building financial markets on blockchain. Figure operates at scale where few others do: a marketplace for issuing and trading digital assets (both securities and non-securities), an SEC-registered yield-bearing stablecoin (YLDS), tokenized real-world assets originated through our lending and Figure Connect businesses, and prime brokerage and trading products. You will provide day-to-day product counseling and help shape Figure's position as U.S. digital asset regulation is rewritten in real time, including stablecoin legislation, pending market structure reform, and active SEC and CFTC rulemaking. Both in-person in San Francisco or New York and remote workers considered.

What You’ll Do

  •  Serve as primary legal partner to markets-focused product teams across the full product lifecycle, conception, structuring, launch, operation, and sunset, for digital asset trading, stablecoin, tokenization, and prime brokerage products
  • Advise on the application of federal securities laws to blockchain-native products, including registered digital asset securities, tokenized real-world assets, and exchange and ATS activity, in coordination with our broker-dealer and public company securities counsel
  • Support YLDS and related stablecoin initiatives, including compliance with the GENIUS Act framework and its interplay with SEC-registered yield-bearing structures
  • Monitor and translate fast-moving regulatory developments, market structure legislation, SEC and CFTC rulemaking and joint guidance, and state virtual currency regimes, into practical product guidance, and support comment letters and regulator engagement
  • Counsel on custody, digital wallets, smart contracts, public blockchain protocol matters (including Provenance-based infrastructure), and cross-border considerations for a global marketplace
  • Negotiate financial and trading agreements, including prime brokerage, trading, lending, custody, and market-maker arrangements
  • Partner with Compliance on AML/sanctions considerations for digital asset products and with Marketing on compliant product communications
  • Build relationships with ecosystem participants, banking partners, and affiliates

What We Look For

  • 10+ years as outside or in-house counsel for financial services firms, with deep securities and crypto industry experience; broker-dealer, ATS/exchange, investment adviser, OTC trading, or virtual asset money transmitter background preferred
  • Substantial expertise in the Securities Act of 1933 and Securities Exchange Act of 1934, with working knowledge of the Investment Advisers Act and Investment Company Act
  • Fluency in the current U.S. digital asset regulatory landscape, including the GENIUS Act, pending market structure legislation, and SEC/CFTC jurisdictional developments; regulatory agency experience (SEC, CFTC) a plus
  • Product counseling experience with blockchain, crypto, and securities products, including RWA tokens, stablecoins, smart contracts, and digital wallets
  • Strong negotiation skills on financial agreements (prime brokerage, trading, lending, derivatives, custody)
  • Comfort operating in ambiguity and giving clear, decisive advice where the law is unsettled
  • Genuine interest in digital assets, DeFi, and decentralized applications
  • J.D. and membership in good standing with at least one state bar
  • Excellent written, oral, and interpersonal communication skills; ability to own, organize, and manage multiple projects simultaneously
  • Adhere to all company security policies and data handling procedures
  • Complete mandatory security awareness training within required timeframes
  • Promptly report any suspected security incidents or suspicious activity to the Security team

Salary

  • Base Compensation Range: $212,520 - $318,780/yr
  • 25% annual bonus target, paid quarterly 
  • Company equity in the form of RSUs

This is the compensation range for the role in the United States. Actual compensation may vary based on a candidate’s experience, skills, location, internal equity, and evolving business needs. While most offers are generally made within the middle of the range, final compensation is determined based on the factors above.
