Turion Space is building the autonomous infrastructure to operate and defend the in-space economy. From our DROID satellites that remove debris and inspect assets, to Starfire OS that enables autonomous space operations, to advanced propulsion and sensing technologies, we are solving some of the hardest problems in space. As we grow our government and commercial portfolio, execute financing transactions, and expand through strategic partnerships, our legal team plays a direct role in enabling the business. We are looking for an experienced Senior Corporate Counsel to join our in-house legal team as a trusted business partner across corporate, securities, and finance matters. This role reports to the General Counsel and is onsite in Irvine, California.

Responsibilities

  • Support the General Counsel as an advisor to the Board of Directors and executive leadership on governance best practices, fiduciary duties, and corporate formalities.

  • Draft and maintain board and committee charters, corporate policies, and subsidiary governance documentation.

  • Support the preparation and logistics of Board and committee meetings, including materials, minutes, and written consents.

  • Support investor relations activities in coordination with the General Counsel and executive team.

  • Support debt and equity financing transactions, including credit facilities, private placements, and public offerings.

  • Draft and negotiate finance-related agreements including loan documents, intercreditor agreements, SAFEs, and related ancillary documents.

  • Advise treasury and finance teams on general banking matters and covenant compliance.

  • Support the General Counsel in leading M&A transactions including acquisitions, divestitures, joint ventures, and strategic investments.

  • Draft, review, and negotiate transaction documents including LOIs, purchase agreements, and ancillary closing documents.

  • Coordinate cross-functional due diligence and establish and maintain clean rooms on deals.

  • Support the administration of equity compensation programs including stock option plans, RSU awards, and ESPP, in coordination with HR and Finance.

  • Advise on Section 409A, Rule 701, and other regulatory requirements applicable to equity compensation.

  • Prepare equity award agreements, plan amendments, and related board approvals.

  • Draft and negotiate a wide variety of general corporate documents and agreements and provide general corporate law counsel to business units.

  • Identify legal risks and recommend practical solutions that align with business objectives.

Basic Qualifications

  • J.D. from an accredited law school and active membership in the California State Bar, or eligibility for registered in-house counsel status.

  • 8 years of legal experience with a strong foundation in corporate, securities, and finance law.

  • Hands-on M&A transaction experience, including drafting and negotiating deal documents.

  • Familiarity with equity compensation plan administration and related tax and securities requirements.

  • Excellent drafting, analytical, and communication skills.

  • Ability to manage multiple workstreams independently in a dynamic, high-growth environment.

  • The ability to obtain and maintain an active US security clearance

Preferred Qualifications

  • Prior experience in aerospace, defense, technology, or manufacturing industries.

  • Mix of large law firm and in-house experience

  • Familiarity with government contracting, dual-use technologies, or export control regulations (ITAR/EAR).

  • Active U.S. security clearance.

Senior Corporate Counsel - $180,000.00 - $220,000.00 USD

ITAR Requirements:

This position may include access to technology and/or software source code that is subject to U.S. export controls. To conform to U.S. Government export regulations, applicant must be a (i) U.S. citizen or national, (ii) U.S. lawful, permanent resident (aka green card holder), (iii) Refugee under 8 U.S.C. § 1157, or (iv) Asylee under 8 U.S.C. § 1158, or be eligible to obtain the required authorizations from the U.S. Department of State.
