As Senior Legal Counsel Corporate & Finance, provide senior, pragmatic and business-focused legal counsel on complex corporate, governance, finance and strategic matters, enabling the organization to execute its strategy, protect value and manage legal and regulatory risk in accordance with applicable laws, internal policies and ethical standards.

Your responsibilities will include: 

• Act as a trusted legal adviser to Finance, Treasury, Tax, Investor Relations, Trade Sanctions Compliance, Corporate Communication, ESG and other relevant stakeholders, translating complex legal requirements into clear, practical and risk-based recommendations.
• Advise on financing and treasury matters, including credit facilities, debt and capital-markets transactions, guarantees, intercompany financing and insurance agreements.
• Draft, review and negotiate transaction documents and complex agreements.
• Support compliance with applicable disclosure and financial-market requirements, including internal and external reporting, in close collaboration with relevant subject-matter experts and control functions.
• Identify, assess and communicate material legal risks early; develop proportionate mitigation strategies that protect the organization while enabling timely business decisions.
• Manage external counsel and other legal service providers, including scoping, selection, quality oversight, budget control and effective transfer of knowledge to internal teams.
• Develop and maintain templates, playbooks, guidance and training for recurring corporate and finance matters, and drive simplification, standardization and appropriate use of legal technology.
• Contribute to cross-functional and Legal & Compliance priorities, share expertise across jurisdictions, and coach colleagues or project team members where required.

What you need to bring to the role:

• Law degree or equivalent professional legal qualification from a recognized institution.
• Admission to practice law and good standing in at least one relevant jurisdiction.
• Postgraduate qualification or additional training in corporate law, finance, securities, business administration or a related discipline is desirable.

• Fluency in English essential; Knowledge of at least one other language preferred.
• Typically 8+ years of relevant post-qualification experience in corporate, finance, securities or related transactional law, gained in a reputable law firm and/or an international in-house legal function.
• Demonstrated experience leading or independently managing complex financing and corporate legal matters.
• Strong knowledge of corporate law and governance; sound understanding of finance, treasury and accounting concepts and their legal implications.
• Experience in a listed, regulated or highly matrixed multinational organization is desirable; pharmaceutical or finance sector experience is an advantage.
• Excellent legal drafting, analytical, negotiation and project-management skills, with the ability to prioritize multiple high-impact matters under tight timelines.
• Strong business judgement and financial acumen, with a pragmatic, solution-oriented approach and the confidence to challenge and influence senior stakeholders.
• Proven ability to collaborate across functions, cultures and jurisdictions and to manage external advisers efficiently.
• High standards of integrity, discretion and professional ethics, combined with learning agility and resilience.

Sandoz compensation is determined by job level, qualifications, niche skills, experience, and location within company salary ranges. Fully proficient and highly effective employees can expect a starting salary around market median, with those new to the level or with less functional depth at the lower end of the range and those with sustained superior or niche skills towards the higher end of the range. Internal equity and external market data inform our range placement. Annual salary reviews consider performance outcomes, market alignment, and business needs.
