Position Overview – SENIOR LEGAL COUNSEL

The ideal candidate for this role will have 5-7+ years of transactional experience in the software industry including experience drafting and negotiating standard and vendor order agreements, SaaS, and software license contracts.

Experience or exposure in computer science or IP licensing preferred.

The ideal candidate will also have strong organizational skills, and he or she will
demonstrate the ability to multi-task.

Responsibilities:

  • Drafting, reviewing, negotiating, and presenting for execution a wide variety of individual and outbound agreements, such as vendor agreements, customer order contracts, SaaS and alliance agreements, software development, SOWs, NDAs, and documentation and licenses for engineering teams.
  • Legal support of global HR operations, including compliance matters (e.g.,
    GDPR, EU AI Act, Cyber Resiliency Act, etc.).
  • Assist with any office related and customer compliance matters including ensuring compliance to employee policies, obligations, rights, including matters relating to internal HR regulations, auditing reimbursements, facilities,
    terminations etc.
  • Consult with internal clients to develop business and legal terms, provide training and leadership regarding laws and obligations as they pertain to assigned programs.
  • Provide advice regarding EU, state and federal regulations applicable to the
    business.
  • Assist with the continuous improvement of templates of agreements for the
    contracting process.

Legal Training and Skills:

  • Fully licensed as a lawyer in a US state
  • Experience in dispute resolution and mediation
  • Experience negotiating a variety of types of contracts, including contracts related
    to EU regulations (e.g. DORA addenda, etc.)
  • Excellent drafting of a variety of privacy-related agreements and documents
    (DPAs, Transfer Impact Assessments, etc.)
  • Experience with a variety of marketing vendor contracts (trade show agreements,
    lead generation agreements)
