This position will reside at a Medtronic corporate location in California, Colorado, Florida, Massachusetts, or Minnesota. This position reports to the Vice President, Chief Counsel, Americas Region.

Responsibilities may include the following and other duties may be assigned.

We are seeking an exceptional strategically minded and transactionally focused attorney to serve as a key legal partner supporting the GCO activities with emphasis on fraud and abuse compliance, ambulatory surgery center (ASC) business models, service and repair programs, and strategic partnerships with a variety of stakeholders, including customers. Examples may include collaborative data sharing arrangements, innovative distribution models, service line optimization programs, supply chain partnership initiatives, service and repair commercial and operational activities, educational partnerships, digital enabled solutions and other emerging areas of interest to Medtronic.

This role provides general, proactive, business forward legal guidance and drafting support to enable innovative business models that are compliant with federal and state healthcare laws—including the False Claims Act, the Anti-Kickback Statute (AKS), data privacy and security laws, software licensing, FDA law, general commercial transaction legal principles, ASC specific regulatory frameworks, and other relevant regulations, laws, policies, practices — ensuring compliant execution of commercial and operational initiatives.

The attorney will work cross functionally with a variety of enterprise and operating unit business clients, quality, regulatory, clinical, and operations teams as well as functional centers of excellence including; IP, compliance, M&A, privacy, AI, antitrust, litigation, government affairs, and health economics policy and reimbursement on issues related to ASC initiatives, commercial program design, service offerings, and service and repair operational matters.

Key Responsibilities:

ASC Support

  • Provide legal guidance on strategies involving ASC partnerships, commercial models, distribution programs, reimbursement trends, and engagement with ASC stakeholders, consistent with ASC market dynamics and business strategy.
  • Support contract development and review for ASC offerings, collaborations, facility level programs, and commercial engagements.
  • Advise business teams on regulatory and compliance guardrails for ASC-based service models, digital engagement, and operational initiatives.

Enterprise Accounts Strategic Transactions Support

  • Support evaluation, structuring, drafting, and negotiation of strategic partnerships, commercial arrangements, and collaborative activities, including risk assessment and diligence on fraud and abuse and compliance implications.
  • Provide legal support for innovative commercial models, distribution structures, portfolio offerings, and cross-functional transactional execution.

Service & Repair Program Support

  • Draft, negotiate, and advise on service, warranty, maintenance, and repair agreements.
  • Assess compliance risks related to service offerings and partner with quality, operations, and service teams to align legal and regulatory requirements with field service processes.

Fraud & Abuse / Regulatory Counseling for GCO initiatives

  • Partner with other functional team members, including the Health Law Center of Expertise (COE), to provide expert guidance on AKS, state fraud laws, False Claims Act, and related enforcement trends.
  • Review and advise on pricing, discounting, rebates, service arrangements, and financial interactions with healthcare providers, suppliers, and ASC partners to ensure compliance.
  • Support internal reviews, risk assessments, and compliance programs.

Cross-Functional Partnership & Governance

  • Collaborate closely with compliance, anti-trust, regulatory, quality, and health economics teams on risk mitigation and policy development.
  • Provide legal training and practical guidance to business teams, including communication risk management, documentation hygiene, and escalation protocols.

     

Additional Responsibilities

  • Serve as primary legal contact and business partner for the GCO.
  • Identify, assess, and communicate key contract risks, obligations, and practical mitigation strategies to internal stakeholders.
  • Provide legal review of proposed website content, internal and external communications pieces, executive business updates, and other materials.
  • In partnership with other subject matter experts, support discussions and negotiations regarding GCO implementation strategies.
  • Collaborate closely with Medtronic’s various legal COEs and other legal and compliance professionals, as needed, to deliver the highest quality practical and strategic advice to commercial, finance, and other stakeholders to close deals effectively and compliantly.
  • Partner with other stakeholders to build efficient processes, creation and maintenance of playbooks, templates, self-help workflows, and document management systems.

MUST HAVE: MINIMUM REQUIREMENTS

  • Juris Doctor from a nationally recognized US law school
  • Licensed to practice law and in good standing under the Bar of at least one state in the United States or in Washington D.C.
  • 8+ years of legal experience to include 5+ years of legal experience both advising clients on the laws and regulations relevant to the sale and promotion of healthcare products and services, with specific experience in the ASC segment, as well as negotiating and drafting agreements governing the sale of healthcare products and services.

NICE TO HAVE

  • Experience supporting Sales and Marketing, with a focus on strategic partnerships related to medical devices and services.
  • Extensive experience negotiating and drafting collaborative partnerships, consulting services, data use agreements, capital acquisition programs (sales, leasing, and financing), discount arrangements, partnership agreements, distribution agreements, group purchasing organization agreements, service and repair agreements, other.
  • An adept ability to issue spot and effectively communicate complex legal risks, including antitrust and antikickback, simply and clearly to relevant stakeholders.
  • Experience providing legal advice and business solutions for data protection, privacy, and security for a large, regulated and matrixed organization.
  • Ability to identify high risk situations and provide appropriate guidance, including the ability to make courageous and unpopular decisions in a diplomatic manner.
  • Proven ability to manage and execute multiple complex assignments across multiple stakeholder groups within required timelines and expectations.
  • Possesses a proactive, customer-centric, solutions-oriented and continuous improvement mindset. 
  • Confident and humble leadership presence, with a proven ability to influence leadership at all levels of an organization.
  • Superior active listening skills and a keen ability to understand the big picture.

Salary ranges for U.S (excl. PR) locations (USD):$190,400.00 - $285,600.00


This position is eligible for a short-term incentive called the Medtronic Incentive Plan (MIP).

This position is eligible for an annual long-term incentive plan.

The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).

The following benefits and additional compensation are available to those regular employees who work 20+ hours per week: Health, Dental and vision insurance, Health Savings Account, Healthcare Flexible Spending Account, Life insurance, Long-term disability leave, Dependent daycare spending account, Tuition assistance/reimbursement, and Simple Steps (global well-being program).
