Position Summary

The Senior Quantitative Analyst is responsible for leading complex quantitative and financial modeling initiatives in support of a variety of corporate and fund-related transactions, including capital markets, venture capital, private equity, and M&A. The Senior Quantitative Analyst serves as a strategic advisor on transaction mechanics, capital structures, and payout modeling while ensuring accuracy, efficiency, and consistency across a significant number of high-profile matters.  This role partners closely with attorneys, clients, and other stakeholders as needed to structure, analyze, and execute sophisticated transactional matters requiring advanced financial and quantitative modeling expertise.

Essential Duties and Responsibilities

Expected responsibilities include, but are not limited to, the following:

  • Lead the design, development, and review of sophisticated financial and quantitative models supporting corporate transactions, including venture financings, M&A matters, IPOs, de-SPAC transactions, restructurings, and other strategic transactions.

  • Construct, audit, and maintain complex capitalization tables and equity ownership analyses.

  • Develop and analyze liquidation waterfalls and allocation/distribution models for LLCs, partnerships, and corporate capital structures across multiple transaction scenarios.

  • Prepare and review merger consideration models, payout spreadsheets, and transaction allocation analyses tied to negotiated deal structures and governing transaction documents.

  • Perform advanced analyses related to equity financings, stock option grants, debt/equity conversions, and securities issuances.

  • Lead 280G, 409A, ISO limitation, Rule 701, and similar compliance-related analyses.

  • Design and oversee pro forma capitalization and pricing models in connection with IPOs, follow-on offerings, venture financings and other public and private capital markets transactions.

  • Review and validate quantitative deliverables received from clients, investment banks, accounting firms, and outside counsel.

  • Collaborate with attorneys and clients to identify transaction risks, resolve modeling discrepancies, and provide strategic analytical recommendations.

  • Support business development and client relationship initiatives by contributing quantitative insights and transaction support expertise.

  • Drive process improvement initiatives, including automation, standardization, and optimization of financial modeling tools and workflows.

Qualifications/Position Requirements

  • Advanced expertise in financial modeling, capitalization analysis, and transactional structuring.

  • Strong knowledge of venture capital, private equity, mergers and acquisitions, capital markets, and corporate finance transactions.

  • Expert-level proficiency in Microsoft Excel, including advanced formulas, macros, financial modeling architecture, scenario analysis, and reporting automation.

  • Strong analytical, quantitative, and problem-solving skills with exceptional attention to detail.

  • Ability to synthesize complex financial and transactional information into clear, actionable insights for attorneys, clients, and other stakeholders.

  • Excellent written and verbal communication skills with the ability to effectively present complex analyses to both technical and non-technical audiences.

  • Proven ability to manage multiple high-priority matters simultaneously in a fast-paced, deadline-driven environment.

  • Strong interpersonal and collaboration skills with the ability to build trusted relationships across cross-functional teams and external stakeholders.

  • Experience mentoring or supervising junior team members preferred.

  • Familiarity with legal transactional workflows and corporate legal operations strongly preferred.

Education and/or Experience

  • 5+ years’ experience in quantitative analysis, financial modeling, transaction advisory, investment banking, valuation, corporate finance, or related analytical roles.

  • Experience supporting corporate transactions within a law firm, investment bank, consulting firm, accounting firm, or professional services environment strongly preferred, particularly law firm experience. 

  • Bachelor’s Degree required. Degree in Finance,  Economics, or Applied Mathematics preferred.

Compensation

The expected base salary for this position ranges from $175,000-275,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
