The Role 

You'll support and accelerate Everlaw's contracting engine, helping manage deal volume while building out modern, AI-assisted legal workflows. Working closely with Commercial Counsel, you will review, redline, and negotiate a wide range of commercial agreements while acting as a responsive, business-minded partner to our Sales and Finance teams.

This is a full-time, exempt position based in our Oakland, CA office with a hybrid work schedule: in office M/W/Th with the option to work from home on Tu/Fr.

What you'll do

  • Review, redline, and negotiate customer-facing SaaS subscription agreements, order forms, NDAs, and statements of work using Everlaw's standard positions and playbooks.
  • Review and negotiate inbound vendor and software licenses, professional services agreements, and procurement contracts.
  • Apply, maintain, and update Everlaw's contract playbooks, fallback positions, and standard form agreements as our business and legal landscape evolve.
  • Serve as a responsive legal partner to Sales and Finance, offering pragmatic advice on contract terms affecting revenue recognition, billing structures, and deal velocity.
  • Thoughtfully integrate approved AI productivity tools into daily workflows to optimize contract review, issue spotting, drafting, and negotiation preparation.
  • Answer day-to-day contract questions from internal stakeholders and keep pace with legal developments in SaaS, AI, data privacy, and cloud technologies.

About You

  • You have 1–3 years of commercial contracting experience in-house at a technology company or at a law firm with a SaaS client focus, along with a J.D. and active state bar membership.
  • You have hands-on experience negotiating critical terms like Limitations of Liability, Indemnification, IP Rights, and Data Security, plus experience with NDAs, DPAs, or BAAs.
  • You produce clear, concise redlines and can calibrate your communication for legal, business, and technical audiences.
  • You are process-oriented, curious about AI legal tools, and thrive when managing multiple concurrent deal streams under tight timelines.
  • You are authorized to work in the United States. Please note that at this time, Everlaw is not sponsoring U.S. employment visas for this role.

  • Experience with Ironclad or a comparable CLM platform.
  • Experience at a B2B SaaS or legal technology company.
  • Experience supporting a sales team in a high-growth environment.

The expected salary range for this role is between $148,000 and $187,000. The final offered salary will be dependent upon many factors including the candidate’s experience and skills. The role's compensation is subject to change in the future.
