About the Team:

Our Legal team is dedicated to supporting the World Network by managing Tools for Humanity’s legal affairs globally. We collaborate across the company to advance the blockchain project and enhance our products, including the Orb (our hardware device), World ID, World App, and World Chain. We value creativity, curiosity, a sense of humor, and a shared sense of urgency.

About the Opportunity:

We are seeking an experienced Senior Commercial and Corporate Counsel to join our growing legal team at Tools for Humanity. This role is primarily focused on supporting complex commercial transactions, strategic partnerships, enterprise deals, integrations, and other high-impact business initiatives that are critical to the company’s growth.

You will partner closely with business development, partnerships, product, operations, finance, and legal stakeholders to structure, negotiate, and execute sophisticated commercial arrangements across a wide range of products, technologies, and markets. The role requires strong commercial judgment, practical problem-solving, and the ability to balance legal protection with operational and business realities in a fast-moving environment.

In addition to core commercial legal responsibilities, this role may also support select corporate and strategic transaction matters, including investments, M&A, governance, and other structural initiatives where commercial and corporate considerations intersect.

The ideal candidate combines strong technical legal training with practical in-house judgment, excellent communication skills, and a highly collaborative approach. You should be equally comfortable leading negotiations, advising business stakeholders, improving contracting processes, and navigating novel or ambiguous transaction structures.

In this role, you'll take ownership of the following areas of work:

Commercial - Partnerships, Enterprise Deals & Strategic Transactions

  • Lead the drafting, negotiation, and execution of sophisticated commercial agreements, including strategic partnerships, enterprise customer agreements, technology integrations, SaaS agreements, vendor arrangements, ecosystem partnerships, and other high-impact transactions.

  • Partner closely with business development, partnerships, product, operations, finance, and leadership teams to structure and execute complex commercial arrangements.

  • Advise stakeholders on transaction structure, risk allocation, operational considerations, and negotiation strategy in a practical and business-oriented manner.

  • Support novel and cross-functional deal structures involving emerging technologies, blockchain infrastructure, digital identity systems, AI, and global operational models.

  • Coordinate effectively with subject matter experts across regulatory, privacy, product, IP, employment, security, tax, and corporate legal functions.

  • Contribute to the development and refinement of templates, playbooks, fallback positions, and scalable contracting processes that improve consistency, speed, and business enablement.

Corporate & Strategic Transaction Support

  • Support strategic transactions, investments, acquisitions, joint ventures, and other corporate initiatives as needed.

  • Assist with corporate governance matters, including board materials, subsidiary maintenance, consents, resolutions, and related documentation.

  • Help identify and manage legal, operational, and structural risks associated with new business initiatives and partnership models.

About You:
  • Relevant Experience: 3–10+ years as a Commercial, Technology Transactions, Corporate, M&A, or Emerging Companies attorney at a top firm or in-house (a combination is even better!). No prior Web3 or blockchain experience required.

  • Commercial Transaction Experience: Significant hands-on experience drafting, negotiating, and managing sophisticated commercial transactions and strategic partnerships.

  • Communication & Relationship Building: Excellent communicator with the ability to explain complex legal concepts clearly and build strong, trust-based relationships across legal and business teams. Irreverence and humor are a big plus.

  • Strategic & Business Judgment: Practical, business-oriented problem solver capable of balancing legal risk, commercial objectives, operational realities, and execution speed.

  • In-Person: Able to generally be in the office in San Francisco, CA.

  • Judgment & Integrity: Demonstrates sound judgment, professionalism, discretion, and integrity in all interactions.

  • Adaptability & Initiative: Positive and collaborative attitude with intellectual curiosity, resourcefulness, and comfort working in a fast-paced, evolving environment.

  • Attention to Detail: Exceptional attention to detail and organizational skills, with a track record of improving processes.

  • Execution & Problem-Solving: Skilled at managing multiple priorities and solving both traditional and novel legal challenges.

  • Willingness to Travel: Open to occasional international travel and flexible scheduling based on team needs.

Pay transparency statement (for CA and NY based roles):

The reasonably estimated salary for this role at TFH ranges from $255,000 – $300,000, plus a competitive long term incentive package. Actual compensation is based on factors such as the candidate's skills, qualifications, and experience.
