Job Description

Agilent Technologies is seeking an experienced Senior Commercial Contracts Counsel to join the Commercial Contracts organization within the Legal Department. This role will support Agilent's growing Advanced Manufacturing Partnership and Pathology and Clinical Diagnostics Divisions, with a particular focus on complex commercial agreements related to Contract Development and Manufacturing Organization (CDMO) activities, strategic supply chain relationships, and complex supplier engagements.

The successful candidate will serve as a trusted legal and business advisor, leading the negotiation, drafting, and management of sophisticated commercial agreements while helping enable strategic growth initiatives. This position will partner closely with Commercial, Business Development, Procurement, Compliance, and senior business leaders to structure and negotiate agreements that support Agilent's business objectives while appropriately managing risk.

The position reports to the Associate Vice President, Commercial Contracts.

Key Responsibilities

The person who fills this position will assume significant responsibility for:

  • Leading negotiations for complex commercial agreements supporting Agilent's AMPD and CDD businesses, including clinical supply agreements, commercial supply agreements, manufacturing and service agreements, quality agreements, development agreements, collaboration agreements, and strategic partnership arrangements.

  • Drafting, reviewing, negotiating, and interpreting high-value and strategically significant commercial, supply chain, procurement, and manufacturing agreements with pharmaceutical, biotechnology, CDMO, CRO, diagnostic, healthcare industry customers, strategic partners, vendors, and suppliers.

  • Developing contract negotiation strategies that balance business objectives, legal risk, regulatory requirements, and customer expectations.

  • Providing practical, business-oriented legal advice regarding contractual risk, liability allocation, intellectual property, confidentiality, data privacy, quality and regulatory obligations, and commercial terms within highly regulated life sciences and pharmaceutical environments.

  • Partnering closely with business stakeholders to support new business models, strategic transactions, and growth initiatives within the pharmaceutical and life sciences industries.

  • Collaborating with Enterprise Counsel, Compliance, Intellectual Property, Procurement, Privacy, Quality, and other subject matter experts on complex and cross-functional matters.

  • Supporting dispute resolution efforts and contract interpretation issues throughout the contract lifecycle.

  • Contributing to the development and continuous improvement of contract templates, negotiation playbooks, policies, and contracting processes.

  • Supporting the adoption and optimization of contract lifecycle management (CLM) tools and other digital solutions that improve contracting efficiency.

  • Serving as a recognized subject matter expert and mentor within the Commercial Contracts organization, helping build organizational capability and best practices in pharmaceutical, biotechnology, and CDMO related contracting

Qualifications
  • Juris Doctor (J.D.) degree from an accredited law school and active license to practice law in at least one jurisdiction.

  • Post-graduate, certification, and/or license may be required.

  • Minimum 8+ years of combined law firm and in-house legal experience, with significant experience negotiating complex commercial agreements.

  • Demonstrated experience supporting life sciences, pharmaceutical, biotechnology, healthcare, diagnostics, or related industries.

  • Direct experience working within a pharmaceutical CDMO (Contract Development and Manufacturing Organization), pharmaceutical manufacturer, biotechnology company, or equivalent organization negotiating pharmaceutical manufacturing, development, commercial supply, supplier, technology transfer, quality, procurement, or related life sciences agreements.

Additional Details

The full-time equivalent pay range for this position is $163,600.00 - $273,519.00/yr plus eligibility for bonus, stock and benefits. Our pay ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
