LocationWe are hiring for this role to be based in the United States or Canada. This is a remote role unless you fall within the following parameters. If you live within approximately 50 miles of our San Mateo, CA or Provo, UT office, the position follows a hybrid schedule with in-office days on Mondays, Wednesdays, and Fridays.
As Commercial Counsel, you'll join GC AI's commercial legal team and jump straight into the deal flow that powers one of the fastest-growing companies in legal tech. You'll report to the General Counsel, transitioning to report to the Associate General Counsel, Commercial once that role is filled. You'll handle routine commercial matters independently (NDAs, standard-form agreements, low-complexity redlines) and work closely with senior team members on more complex negotiations. This role is ideal for someone early-to-mid career who wants real reps on commercial deals in a B2B SaaS environment, wants to learn fast, and is energized by the idea of building something new alongside a high-performing team.
- Keep deals moving by providing fast, reliable legal support across a high volume of commercial transactions.
- Free up senior team members to focus on the most complex negotiations by owning routine and moderate-complexity matters.
- Help build and refine the templates, processes, and self-serve resources that scale GC AI's commercial legal function.
- Contribute to a team culture of speed, precision, and business partnership.
- Draft, review, and negotiate commercial agreements (customer and vendor), with a focus on NDAs, standard-form agreements, and moderate-complexity redlines.
- Work independently on routine commercial matters while seeking guidance on complex issues.
- Support sales and business development teams through deal cycles, managing multiple priorities with quick turnaround.
- Explain legal concepts clearly to non-legal stakeholders.
- Maintain deal velocity under pressure, particularly during month-end closing periods.
- Contribute to building scalable legal processes and empowering business teams through templates and self-serve resources.
- Take on additional projects and tasks as needed in response to the evolving needs of a fast-growing startup.
- JD and active bar membership in at least one US jurisdiction.
- 3-7 years of technology transactions experience with B2B SaaS transactions in an in-house or big law firm.
- Strong drafting and negotiation skills with a focus on commercial agreements.
- Ability to work independently on routine commercial matters (NDAs, standard-form agreements, low-complexity redlines) while knowing when to seek guidance on complex issues.
- Excellent communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders.
- Experience supporting or working closely with sales or business development teams.
- Demonstrated ability to manage multiple priorities and maintain quick turnaround times.
- Comfort working under pressure, particularly during month-end closing periods.
- In-house legal experience (law firm technology transactions experience will also be considered).
- Experience at a high-growth startup or scale-up company.
- Familiarity with AI, machine learning, or legal technology sectors.
- Exposure to privacy frameworks (GDPR, CCPA, state privacy laws) or data protection agreement negotiation.
- Interest in building scalable legal processes and empowering business teams through templates and self-serve resources.
- You are already a GC AI user.

Compensation
GC AI's compensation package includes a competitive base salary benchmarked against real-time market data, as well as equity for all full-time roles. We also offer exceptional benefits, as well as commission plans for applicable roles. Our US-based compensation range for this role is $141,000 – $191,000. Actual pay is determined by skills, qualifications, experience, location, market demand, and other factors.
These compensation bands are just the starting point. After someone joins and proves they’re and exceptional performer, we adjust quickly to ensure their compensation aligns with their impact.
