The Role

We are looking for an experienced and motivated Commercial Counsel to join our growing legal team. This is a hands-on, generalist role for a transactional attorney who thrives in an operational environment — you will be the primary legal resource supporting Mariana’s procurement, construction, and project delivery teams. Your work will center on the vendor and contractor relationships that power our mining operations, from equipment supply and engineering services to large-scale construction contracts. You will play a key role in building the legal infrastructure — playbooks, templates, and processes — that allows the company to move fast without sacrificing legal protection.

What You’ll Do
  • Lead drafting, review, and negotiation of a wide variety of commercial agreements, including NDAs, MSAs, supply and procurement agreements, offtake agreements, software agreements, and professional services agreements

  • Build and maintain scalable contract playbooks, standard form agreements, fallback positions, and negotiation guidelines to enable efficient and consistent contracting across the organization

  • Collaborate with cross functional teams to improve the company’s contract workflows, including streamlining negotiation, tracking, and execution and identifying opportunities to leverage automation

  • Provide practical and business-oriented advice to cross functional teams on a variety of matters, including IP issues, risk mitigation, contract interpretation

  • Support the small but growing legal team on ad hoc matters as needed

Desired Qualifications
  • J.D. from a top accredited law school and active bar membership in good standing

  • 5-7+ years of experience as a transactional or commercial attorney, with meaningful exposure to drafting and negotiating commercial contracts (law firm and/or in-house experience)

  • Strong drafting, negotiation, and analytical skills, with the ability to translate complex legal issues into clear, practical guidance for non-legal stakeholders

  • Ability to work independently, manage multiple competing priorities, and operate effectively in a fast-moving, resource-constrained environment with limited direction

  • High degree of ownership and accountability

  • Experience in the mining, energy, construction, or other capital-intensive industry

  • Experience supporting large scale commercial contracting projects

  • May include limited travel expectations as needed.
