Basic Function

Provide legal counsel to SB Energy’s cross functional teams and support growth of the platform, work interactively with the legal team, the executive team and other functional teams. This position reports to the Senior Counsel.

Responsibilities

  • Provide counsel to the Company as the business positions itself to capture emerging opportunities in the following segments of the energy and infrastructure industries: Datacenter and real estate development, Utility Scale-Solar, battery storage and other energy resources, development and acquisition of new technologies, etc.  
  • Support project and corporate financing – construction debt, corporate debt, tax equity facilities and other structures, potential equipment financing facilities, etc.
  • Support, negotiate and review acquisition structures and documentation as we grow our pipeline and enter new markets with new technologies
  • Assist with the review, negotiation and drafting of real estate agreements and title issues
  • Research, review, interpret, draft and negotiate project documents such as lease agreements, power purchase agreements, energy and/or REC hedge transactions, construction, EPC and O&M agreements
  • Manage and supervise outside counsel within budgetary constraints; review and approve outside counsel invoices
  • Provide counsel on legal issues identified by development and operations teams in connection with development and operating projects

Qualifications/Requirements

  • JD and strong academic record from a leading law school
  • Licensed to practice law in applicable state of residence
  • 2 + years of relevant experience at a major law firm or with a sophisticated in-house legal department.
  • Experience with respect to transactions in the energy and infrastructure industry, with a focus on M&A, real estate and/or project development and finance
  • Ability to work independently and as a team member; ability to set priorities and to respond to changing demands from multiple sources.
  • Excellent communication skills (verbal and written); project management skills; ability to negotiate; ability to provide a high level of client service and build consensus across a matrixed client organization.
  • Ability to interface with all levels of the organization.
  • Ability to take lead on any responsibilities within the job description, with support from outside counsel and/or other members of the internal legal team.

Location: San Francisco Bay Area, San Diego, CA, or Denver, CO. Hybrid.

Base Pay - $140,000-$190,000

The pay range mentioned above is a guideline. We tailor each offer based on your unique skills, experience, location, and market benchmarks—while ensuring internal parity across our teams. In addition to competitive base pay, total compensation may include a discretionary annual bonus and a market leading comprehensive health and wellness benefits package. Final details will be discussed during the later stages of the hiring process.
