What You'll Do

This is a rare opportunity to build something from the ground up. As our first legal hire, you will own the entire legal function — designing the infrastructure, establishing the processes, and laying the foundation for a team that scales with the business. You'll work directly alongside our CEO and executive leadership team as a true strategic partner, helping us move fast while managing risk intelligently. This is a high-visibility, high-impact role for a commercially minded lawyer who is energized by ambiguity and excited to leave a lasting mark on a growing company.

Where You'll Work

If based outside of our Houston, Long Beach or San Francisco hubs, this role will be based remotely from your home office. Occasional Travel is expected.

Responsibilities
  • Build and own the company's legal function from the ground up, including team structure, outside counsel relationships, contract management processes, and legal operations
  • Serve as the primary legal advisor to the CEO, executive team, and Board of Directors on all legal matters
  • Draft, review, and negotiate commercial agreements, vendor contracts, partnerships, and strategic transactions
  • Develop and implement a compliance program covering data privacy, employment law, and applicable regulatory requirements
  • Oversee corporate governance, entity management, and board-related matters
  • Support financing transactions and potential M&A activity as the business scales
  • Protect and manage the company's intellectual property portfolio, including trademarks, patents, and trade secrets
  • Manage litigation and dispute resolution strategy, including outside counsel oversight
Bonus Points
  • Infrastructure, energy, data center, or manufacturing sector experience
  • Experience with power purchase agreements or real estate transactions
  • Background with international supply chain and vendor agreements
  • Familiarity with IPO preparation or public company compliance
  • Experience with project finance or power market regulations
Requirements
  • JD from an accredited law school with active bar membership
  • 12+ years of legal experience
  • In-house legal experience at a high-growth or scaling company
  • Demonstrated experience building or leading a legal function, including establishing processes, policies, and outside counsel strategy
  • Experience advising C-suite and board-level stakeholders on complex legal and business matters
  • Track record negotiating and closing high-value commercial agreements
