Rapid7's Legal team is seeking a Legal Counsel with a primary focus on supporting our go-to-customer organization as a commercial legal counsel. In this role, you will deliver proactive, practical, and business-focused legal advice across the entire customer lifecycle while partnering closely with internal stakeholders and external customers, partners, and suppliers.
This is a hybrid role based in Boston, MA, with an expectation of working from the office three days per week.
About the Team
The Commercial Legal Team at Rapid7 oversees all customer- and vendor-facing legal contracting. The team partners closely with Sales, Renewals, Channel & Partner teams, Procurement, and other go-to-customer stakeholders, while also collaborating with the broader Rapid7 Legal organization, which covers privacy and data protection, intellectual property, export law, corporate governance, litigation, international legal matters, employment law, regulatory matters, and compliance.
About the Role
As a Legal Counsel, Commercial, your primary responsibility will be to work closely with internal go-to-customer stakeholders and external customers and partners across a wide range of commercial engagements. Specifically, your focus will be to:
  • Deliver proactive, practical, and business-focused legal advice across the entire customer lifecycle while partnering closely with internal stakeholders and external customers, partners, and suppliers.
  • Draft, review, and negotiate a broad range of commercial agreements, including software licensing, SaaS agreements, NDAs, services agreements, SOWs, and order forms.
  • Partner cross-functionally with Sales, Finance, Privacy, Information Security, Renewals, Channel & Partner teams, and Procurement.
  • Support public sector procurement efforts and navigate FedRAMP-related requirements.
  • Translate complex legal requirements into clear, practical guidance for non-legal audiences.
  • Leverage AI-enabled tools to improve legal processes and efficiency.

The skills and qualities you'll bring include
  • Admission to and good standing with the Massachusetts bar (or eligibility for an in-house counsel waiver).
  • Bring 2+ years of experience drafting, reviewing, and negotiating a broad range of commercial agreements, preferably within the technology or SaaS sector.
  • Demonstrate experience supporting go-to-market teams on software licensing, SaaS agreements, NDAs, services agreements, SOWs, and order forms.
  • Drive cross-functional collaboration by building networks across Sales, Finance, Privacy, and Information Security teams to deliver sustainable business outcomes.
  • Show interest or experience in public sector procurement and familiarity with FedRAMP-related requirements.
  • Communicate complex legal requirements in a clear, concise manner that conveys rationale and fosters commitment from non-legal audiences.
  • Demonstrate efficient decision-making to resolve commercial challenges and enable business momentum.
  • Maintain accountability by establishing clear ownership and driving outcomes across customer and vendor engagements.
  • Leverage AI-enabled tools to continuously refine legal processes and drive efficiency.
  • Approach work with a positive attitude, strong work ethic, and collaborative mindset.

The annual salary range for this role, depending on location, is:
United States: $111,400.00 - 160,000.00 USD Annual
Salary ranges may vary based on geographical location. This range does not include variable/incentive compensation, equity and benefits (where applicable/eligible).
