Pillsbury is seeking a mid to senior level paralegal with 5-7 years of experience for our Corporate & Securities group, specifically with expertise in high-level transactional management and securities compliance to join its San Francisco office.  The ideal candidate will have experience supporting attorneys with corporate transactions including mergers and acquisitions, venture capital financings, company formations, stock option plans, and IPOs. This role services a broad array of clients including high-growth private companies and public company clients and will provide a varied work experience, with a focus on incorporation of startup companies, support due diligence efforts, perform corporate records management, administration, and implementation of stock option plans, handle venture capital financings, and conduct blue sky research. 

An exemplary applicant should demonstrate a high-level of integrity, the ability to think critically, possess highly effective project and time management skills with solid attention to detail, as well as have superior communication skills and exceptional organizational ability. Must have a BA/BS degree or equivalent and a minimum of 5-7 years of directly related work experience. Candidates should have experience supporting corporate transactions, be experienced and diligent in maintaining all corporate governance documents including minute books and closing binders. Experience with incorporations, securities filings, and cap table management software (e.g., Carta, Pulley etc.) is essential. Excellent computer skills required, including DocuSign, MS Office (Word, Excel, Outlook). Flexibility to work overtime as requested.

Primary Responsibilities

  • Prepare and maintain capitalization tables and assist with equity issuances, option grants, and incentive equity plans

  • Assist with signature pages, closing sets, and post-closing filings

  • Aid in drafting and filing SEC forms, blue sky securities filings, and related notices

  • Assist with entity formations, reorganizations, and corporate governance matters for emerging and growth-stage companies

  • Preparation and maintenance of corporate records and data rooms

  • Assist in the preparation of closing documents and perform post-closing tasks.

Qualifications

  • Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experience

  • Prior experience with SEC forms, blue sky filings, capitalization management software, and knowledge of capitalization fundamentals

  • Ability to read and interpret spreadsheets, equity plan documents, and security-related agreements

  • Understanding of transaction types and securities law requirements

  • Proficiency in Excel, including complex sorting/filtering of data, formulas and functions, analysis, and modeling

  • Ability to maintain the integrity of highly confidential information

  • ECA designation or CEP certification is a plus

Qualified applicants with arrest and conviction records will be considered for the position in accordance with the California Fair Chance Act. California Pay range for this role, with final offer amount dependent on skillset and experience is $130,000-$180,000.
