Wilson Sonsini has an opening for an experienced Corporate Paralegal to work closely with attorneys on private companies, and some public companies, in our San Diego office. The paralegal will be an important part of the team in managing clients and maintaining relationships. The ideal candidate will be self-motivated with the ability to handle variety of responsibilities involved in formations, compliance and corporate governance, and financings.

The primary location for this job posting is in San Diego, but other locations may be listed. This positions offers a hybrid and fully remote work schedule.

Key Duties and Responsibilities:

  • Prepare and file formation documents, including certificates, amendments, qualifications, and dissolutions
  • Draft board minutes, board and stockholder consents, notices, and waivers
  • Support attorneys with corporate transactions, including due diligence, filings, and closing processes
  • Process stock and option administration, including drafting agreements, preparing reports, and issuing stock notices
  • Manage capitalization processes and records in equity management platforms, including Rule 701 analysis
  • Conduct research to prepare and manage corporate and securities filings
  • Prepare and assist with EDGAR code applications and accounts
  • Communicate with clients, holders, directors, investors, and auditors
  • Provide support for franchise taxes, annual reports, and reminders to clients
  • Maintain client and entity files, minute books, and corporate records

Job Requirements:

  • Bachelor’s Degree or Paralegal Certificate at accredited college or university
  • 4+ years of corporate paralegal experience at law firm
  • Strong working knowledge of corporate tasks for private companies
  • Understanding of corporate governance matters and transactional work
  • Experience with securities and corporate laws
  • Experience in capitalization management platforms such as Carta, Pulley and Shareworks
  • Proficient with Excel spreadsheets
  • Detail-oriented and organized, with excellent analytical skills
  • Excellent communication and prioritization skills to manage projects simultaneously under deadline pressure
The primary location for this job posting is in San Diego. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $43.21 - $58.46 per hour.

The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
