Job Summary

The Remote Senior Commercial Counsel will support commercial operations by drafting, reviewing, and negotiating a wide range of agreements, while also providing versatile legal support across various practice areas including M&A, litigation, labor and employment, and real estate matters as needed. This position will streamline and enhance the contracting processes, embrace AI tools and practical technology solutions to drive productivity, excel at cross-functional collaboration with diverse stakeholders throughout the organization, support internal training, and maintain legal templates and playbooks. The Senior Commercial Counsel reports to General Counsel and typically has no direct reports.

Key Job Responsibilities

  • Reliable attendance and punctuality.
  • Efficiently draft, review, and negotiate a variety of commercial agreements with a focus on streamlined processes and practical solutions, including:  
o Master service agreements o non-disclosure agreements (NDAs)o Bids and proposalso Vendor and customer contractso other agreements as needed
  • Partner effectively across all organizational levels and functions to drive business objectives while proactively managing legal risk and fostering collaborative solutions.
  • Continuously develop, maintain, and optimize contract templates, clause libraries, and negotiation playbooks to drive consistency, efficiency, and best-in-class contracting practices.
  • Lead and deliver practical training sessions and workshops for internal stakeholders on legal and contracting best practices, fostering a culture of continuous learning and operational excellence.
  • Identify opportunities for process improvements and implement scalable solutions to increase efficiency and consistency in contracting.
  • Actively leverage AI tools and emerging technologies for contract review, analysis, and management, driving adoption of practical technology solutions that enhance productivity and accuracy in legal operations.
  • Lead the implementation and continuous optimization of contract management systems and legal technology platforms to streamline workflows, increase visibility, and drive measurable efficiency gains across the contracting lifecycle.
  • Provide strategic legal advice on commercial matters and support broader legal initiatives as needed.
  • Ability to manage multiple priorities with a proactive and business-oriented approach, excelling at cross-functional collaboration and delivering practical solutions that meet diverse stakeholder needs.
  • Drive practical, business-oriented solutions that balance legal protection with commercial objectives and operational efficiency.
  • Build and maintain strong working relationships across all organizational levels, from individual contributors to executive leadership, adapting communication style to different audiences and functional needs.
  • Other duties as assigned by supervisor.

Key Performance Measurements

  • Draft, review, and finalize contracts with an accuracy rate determined annually for the fiscal year.
  • A measurement of completion within established timelines, maintaining full compliance with legal and company standards.
  • Other key performance indicators as assigned.

Requirements

  • J.D. from an accredited law school.
  • Active bar membership in at least one U.S. jurisdiction.
  • 10+ years of relevant legal experience, with a preference for at least 2 years in an in-house legal department.
  • Must pass a background check and drug screen.
  • Experience in a high-volume contracting company, preferred.
  • Work experience in energy, power, industrial equipment, or related sectors, strongly preferred.
  • Proficiency with contract management tools, legal operations best practices, and AI/technology adoption for continuous improvement of legal processes and efficiency gains.
  • Demonstrates advanced expertise in drafting, reviewing, and negotiating complex commercial agreements across a range of industries and legal frameworks.
  • Excellent communication, interpersonal, and organizational skills with proven ability to effectively collaborate across diverse functions and engage stakeholders at all organizational levels.
  • Proven ability to work independently and collaboratively in a fast-paced, dynamic environment with a practical, business-oriented approach to problem-solving and decision-making.
  • Demonstrated commitment to continuous improvement and operational excellence.
  • Ability to clearly articulate ideas (both written and verbal) to both internal and external customers and to listen effectively to customer needs.
  • Ability to develop and maintain strong workplace relationships.
  • Requires up to 10% travel, some overnight travel may be required.
