The Impact You'll Make in this Role

As a Senior Managing Counsel, MedSurg Commercial and Government Contracting – U.S. & Canada, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world.

Solventum is seeking a senior attorney to serve as the lead commercial contracting legal advisor for the Medical Surgical business across the United States and Canada. In this role, you will provide practical, business-oriented counsel on complex commercial contracting matters, including customer and distributor agreements, GPO and IDN contracting, strategic pricing initiatives, durable medical equipment (DME) arrangements, government and public-sector contracting, and commercial escalations involving legal, compliance, financial, and business risks. Working closely with leaders across sales, pricing, contracting, finance, compliance, and other business functions, you will help enable growth while balancing legal, regulatory, and commercial objectives. This role also provides dedicated support for Solventum's U.S. and Canada MedSurg contracting operations, DME business, government contracting activities, and other businesses, as necessary.

Here, you will make an impact by:

  • Leading legal support for U.S. and Canada MedSurg commercial contracting matters, serving as the primary legal advisor for customer, distributor, GPO, IDN, health system, DME, service, and government/public-sector agreements, including drafting, negotiating, and advising on complex commercial arrangements and contract templates.
  • Partnering closely with commercial contracting, sales, finance, pricing, compliance, and business teams to ensure contracts are structured and approved through appropriate governance channels.
  • Helping maintain and improve contracting playbooks, escalation criteria, negotiation guidance, and practical tools for business and contracting teams.
  • Providing strategic counsel on pricing, rebates, discounts, customer incentive programs, and commercial risk, while serving as the Legal representative on pricing committees and advising business leaders on healthcare fraud and abuse, antitrust, governance, and related compliance considerations.
  • Supporting Solventum's U.S. Durable Medical Equipment (DME) business by advising on customer, patient, payor, supplier, accreditation, service, billing, and operational contracting matters and partnering with cross-functional stakeholders to address regulatory and compliance risks.
  • Advising on government and public-sector contracting matters, including Federal Supply Schedule (FSS), Veterans Administration (VA), and federal, state, and local government requirements, while supporting contract administration, certifications, reporting obligations, and related compliance activities.
  • Serving as a trusted legal advisor to MedSurg commercial leadership by providing practical guidance on complex transactions, customer negotiations, strategic initiatives, contracting governance, training, risk mitigation, and continuous process improvements that support disciplined, compliant, and efficient business execution.

Your Skills and Expertise

To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

  • Juris Doctor (J.D.) degree (completed and verified prior to start) from an accredited law school AND ten (10) years of legal experience

In addition to the above requirements, the following are also required:

  • Active license to practice law in at least one U.S. jurisdiction.
  • Experience drafting, negotiating, and advising on commercial agreements and government agreements (including, e.g., with GPOs, IDNs, health systems, and distributors).
  • Experience supporting healthcare, medical device, life sciences, durable medical equipment (DME), or other regulated product industries.
  • Experience advising on healthcare fraud and abuse, government program, or public-sector contracting matters.

Additional qualifications that could help you succeed even further in this role include:

  • Prior in-house legal experience within a large, matrixed, global organization.
  • Experience supporting medical device technologies, DME operations, healthcare services, or patient-facing service models.
  • Experience advising on Anti-Kickback Statute, False Claims Act, Sunshine Act, HIPAA/privacy, FDA/regulatory, healthcare reimbursement, accreditation, or related healthcare compliance matters.
  • Experience supporting strategic pricing committees, contract governance processes, or high-value commercial transactions.
  • Experience supporting FSS/VA contracting, government contract administration, or SAM.gov-related processes.
  • Experience developing templates, playbooks, training materials, or contracting tools.
  • Experience counseling senior business leaders on complex legal and commercial matters.
  • Experience assessing legal, regulatory, commercial, or operational risks and providing business-oriented recommendations.
  • Experience communicating complex legal concepts to business stakeholders.

Applicable to US Applicants Only:The expected compensation range for this position is $187,600 - $257,950, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate’s relevant knowledge, training, skills, work location, and/or experience. In addition, this position may be eligible for a range of benefits (e.g., Medical, Dental & Vision, Health Savings Accounts, Health Care & Dependent Care Flexible Spending Accounts, Disability Benefits, Life Insurance, Voluntary Benefits, Paid Absences and Retirement Benefits, etc.).
