The Team You'll Work With

You'll be joining our Carta Law team, specifically within the Emerging Company Venture Capital (ECVC) function.

Our ECVC team manages the end-to-end process for early-stage financing deals, representing both emerging companies and the venture capital funds that invest in them. Working alongside paralegals and other attorneys, you'll own day-to-day client relationships and serve as the primary point of contact for fundraising transactions. This role partners closely with top-tier law firms, accelerators, and venture firms to deliver consistent, high-quality legal support to founders and investors at the earliest stages of company building.

  • Serve as the primary point of contact for founders, venture capital funds, and their respective outside counsel, coordinating term sheet negotiation, diligence, signing, and post-closing deliverables
  • Review and negotiate financing documents — SAFEs, convertible notes, and NVCA-form Stock Purchase Agreements, Investors' Rights Agreements, Voting Agreements, and ROFR/Co-Sale Agreements for priced rounds — advising on cap table, governance, and corporate matters that arise from each transaction
  • Supervise and mentor paralegals through complex early-stage financing transactions — SAFEs, convertible notes, and a company's first priced equity round — ensuring documentation is accurate, timely, and aligned with client playbooks and market-standard terms
  • Develop and evolve deal playbooks and negotiation parameters, alongside the MD, across company- and fund-side client engagements
  • Build and deepen trusted relationships with founders, venture funds, accelerators, and outside counsel, positioning Carta Law as the go-to partner for early-stage financing work
  • Support business development by contributing to new client pitches alongside the Growth team
  • Partner with the technology team to continuously improve AI-driven legal delivery tools and workflows
About You

We are looking for someone who is:

  • Experienced in ECVC law. You have a strong background in early-stage financings — SAFEs, convertible notes, and priced equity rounds — and can independently manage complex, fast-moving deal processes.
  • Client-focused and commercially minded. You build strong relationships with founders, venture capital funds, and their counsel, and know how to communicate clearly under pressure.
  • A natural leader and mentor. You have experience supervising paralegals, and can manage team output across multiple simultaneous deals.
  • Detail-driven and execution-focused. You thrive on getting deals done – you prioritize effectively, handle competing deadlines, and do not lose momentum.
  • Tech-savvy. You are comfortable working with AI-backed legal tools and are curious about the role of technology in modern legal delivery. We're especially open to candidates who are extremely tech-savvy and have a genuine interest in how AI can productize the legal ecosystem.
  • Licensed to practice. You are qualified to practice in California or a comparable jurisdiction. 7+ years of relevant experience recommended.

Carta’s compensation package includes a market competitive salary, equity for all full time roles, exceptional benefits, and, for applicable roles, commissions plans. Our minimum cash compensation (salary + commission if applicable) range for this role is: 

  •  $208,000 - $317,000 in San Francisco

Final offers may vary from the amount listed based on geography, candidate experience and expertise, and other factors.
