Job Summary

Responsible for supporting corporate governance, public company securities compliance, entity management, and legal operations. This role partners closely with Legal, Finance, Treasury, Investor Relations, Internal Audit, Sustainability, and executive leadership to ensure compliance with corporate, regulatory, and governance requirements.


What You’ll Do


Corporate Governance & Entity Management 


Manage domestic and international corporate records, corporate minute books, organizational documents, and entity maintenance. 


Prepare board and shareholder resolutions, written consents, governance documentation, and related corporate records. 


Support board and committee administration, including meeting materials, governance calendars, director onboarding, and governance platform management. 


Maintain corporate governance policies, committee charters, and related governance documents. 


Securities & Public Company Compliance 


Support SEC and NYSE compliance activities, including Section 16 reporting, Forms 3, 4, 5 and 8-K filings, proxy statement preparation, and annual shareholder meeting processes. 


Administer insider trading compliance, blackout periods, EDGAR filings, and reporting-owner records. 


Coordinate annual director and officer questionnaires and related governance disclosures. 



Compliance & Reporting 


Manage quarterly SOX and disclosure certification processes. 


Support sustainability, ESG, and governance reporting initiatives. 


Maintain compliance calendars, reporting deadlines, and legal records. 


Contracts & Legal Operations 


Review and administer select commercial agreements and legal templates. 


Manage legal department mailboxes, compliance reporting, records management, and other legal operations activities.


What You Bring to the Team

  • 5+ years of corporate paralegal experience, preferably in a public company or large law firm environment. 

 

  • Experience supporting corporate governance, entity management, board administration, and securities compliance. 

 

  • Familiarity with SEC filings, Section 16 reporting, proxy statements, and annual shareholder meetings. 

 

  • Strong organizational, project management, and communication skills. 

 

  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
