Job Description:

We are seeking an experienced Manager of Contracts Management to support complex commercial transactions in a fast-paced semiconductor environment. This role will serve as a strategic business partner to Sales, Legal, Finance, Operations, Supply Chain, and Executive Leadership, leading the review, negotiation, execution, and lifecycle management of a broad range of customer, supplier, and strategic business agreements.

The ideal candidate brings deep expertise in commercial contracting, risk mitigation, deal structuring, and cross-functional stakeholder alignment, with the ability to balance legal and commercial priorities to accelerate business while protecting the company’s interests.

Key Responsibilities

Contract Negotiation & Management

  • Lead the review, drafting, negotiation, and execution of a broad range of commercial agreements in support of semiconductor business operations.
  • Manage contracts including but not limited to Purchase and Sales Agreements, NDAs, SOWs

Business Partnership

  • Partner closely with Sales, Business Development, Operations, Finance, Legal, and Product teams to support customer-facing and strategic transactions.
  • Act as a trusted advisor to internal stakeholders on contract positioning, negotiation strategy, escalation management, and commercial tradeoffs.
  • Support executive-level negotiations and high-value customer engagements.

Risk Assessment & Mitigation

  • Identify, assess, and mitigate commercial, financial, legal, and operational risks within proposed contract terms.
  • Review and negotiate provisions related to but are not limited to: warranty, IP ownership/ licensing, forecasting/ allocations, deliver/ lead times, and payment terms

Process Improvement

  • Improve and streamline internal contract intake, review, approval, and execution workflows.
  • Develop and maintain contract templates, fallback language, negotiation playbooks, and approval processes.
  • Help drive consistency and speed across contract review and negotiation cycles.
  • Support contract lifecycle management (CLM) tools and reporting where applicable.

Cross-Functional Leadership

  • Influence stakeholders across multiple functions and levels of the organization.
  • Drive alignment on contract terms while balancing business objectives, customer expectations, and company risk posture.
  • Train and mentor internal teams on contracting best practices and common negotiation issues.

Required Qualifications

  • Bachelor’s degree in Business, Legal Studies, Supply Chain, Finance, Engineering, or related field.
  • 10+ years of experience in contract management, commercial negotiations, or legal/commercial operations.
  • Experience in the semiconductor, electronics, hardware, manufacturing, or technology industry.
  • Strong experience negotiating complex commercial agreements with enterprise customers, suppliers, and strategic partners.
  • Demonstrated understanding of contractual risk allocation and deal structuring.
  • Direct experience in the semiconductor ecosystem, including fabless, foundry, packaging, test, supply chain, OEM, or hyperscaler customer models is a plus
  • Experience supporting high-value revenue transactions and complex strategic accounts with global commercial contracting and international business transactions is a plus.
  • Ability to work effectively in a cross-functional, high-growth, high-pressure environment.
  • Strong written, verbal, analytical, and negotiation skills.

Ideal Candidate Profile: This person is not just a “contracts processor.” The successful candidate should be a commercially savvy semiconductor operator who understands how contracts impact revenue, customer relationships, risk and operational execution.

Pay is based on market location and may vary based on factors including experience, skills, education and other job-related reasons. The base salary range for this position in California is $120,000 - $200,000.
